MOTA-ENGIL INFORMS ON INVESTMENT AGREEMENT WITH CCCC

MOTA-ENGIL S.G.P.S., S.A. (MOTA-ENGIL) informs, following the press releases previously disclosed, namely on April 30 (available in web3.cmvm.pt/english/sdi/emitentes/ and in www.motaengil.com/en/investors/market-releases/), that, with the beginning of the subscription offer period of up to 100,000,000 registered and book-entry shares, representative of MOTA-ENGIL S.G.P.S., S.A. share capital (Offer), another step foreseen in the Investment Agreement (Agreement) established with China Communications Construction Company, Ltd. (CCCC) was accomplished.

Thus, it took place today the sale of 55 million shares by its reference shareholder, MOTA GESTÃO E PARTICIPAÇÕES, S.G.P.S., S.A. (MGP), to EPOCH CAPITAL INVESTMENT B.V., subsidiary at 100% of CCCC. Furthermore, also as provided for in the Agreement, MGP disposed to EPOCH CAPITAL INVESTMENT B.V. 44,426,974 subscription rights for the acquisition of new shares under the Offer.

With the achievement of this milestone, the full implementation of the Agreement is reaching its conclusion, which should take place, according to the calendar available in the Prospectus published at 3 of May, until the end of the current month.
