CHANGE IN MOTA-ENGIL'S BOARD OF DIRECTORS

During 2015 MOTA-ENGIL, SGPS, S.A. ("MOTA-ENGIL") continued to execute its strategic goals, while operating in a challenging environment due to the world economy volatility, mainly in the African market, which has been impacted by the decrease in commodities prices. MOTA-ENGIL has been permanently adapting itself to the new context, namely by promoting organic and managerial changes in order to align, even more, its goals with the reality of each market and which will be reflected in the new Strategic Plan for the period 2016-2020, that MOTA-ENGIL will present to the financial community in due time.

Within the context of planning a new cycle of development and in accordance with the terms of article 3, paragraph a) of Regulation no. 5/2008 of the Securities Market Regulator, MOTA-ENGIL informs that following a mutual agreement, Mr. Gilberto Silveira Rodrigues presented, in order to start its own business, the resignation to his position as member of the Board of Directors and member of the Executive Committee of MOTA-ENGIL. Mr. Gilberto Silveira Rodrigues who was also Chief Executive Officer of MOTA-ENGIL's subsidiary, MOTA-ENGIL AFRICA, will be replaced in this position by Mr. Manuel António da Fonseca Vasconcelos da Mota, following the appointment by MOTA-ENGIL's Board of Directors.

Mr. Manuel António da Fonseca Vasconcelos da Mota, now appointed as Chief Executive Officer of MOTA-ENGIL AFRICA, is a professional with wide expertise in the African region, where he was Managing Director of MOTA-ENGIL ANGOLA, the largest market in the region, and in Central Europe, where he has served as Chief Executive Officer of MOTA-ENGIL CENTRAL EUROPE, a market known as highly demanding due to the intensity of competition in the infrastructure and public works sectors.
