Sub: Update on the appointment of Directors – Intimation under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

This is in furtherance of our letter dated 18[th] December, 2025 wherein the Board of Directors of the Company had approved the appointment(s) of Mr. Sandeep Himmatlal Shah (DIN:11273722) and Dr. Yellamanchali Sreenivas Rao (DIN:11219939) as Additional Directors (Independent and Non-Executive) of the Company with effect from 24[th] October 2025, subject to approval of the shareholders of the Company.

We hereby inform you that the Shareholders of the Company, by way of special resolution(s) passed on 20[th] January, 2026 through Postal Ballot, have approved the following:

a) Appointment of Mr. Sandeep Himmatlal Shah (DIN:11273722) as an Independent Director of the Company for a period of 05 years w.e.f. 24[th] October, 2025.

b) Appointment of Dr. Yellamanchali Sreenivas Rao (DIN:11219939) as an Independent Director of the Company for a period of 05 years w.e.f. 24[th] October, 2025.

The details as required under Para A (7) of Part A of Schedule III of the Listing Regulations read with SEBI Master Circular No SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11[th] November 2024 (as amended) are enclosed as Annexure 1.

I. Brief Profile of Mr. Sandeep Himmatlal Shah

Mr. Sandeep Shah is a seasoned technology executive with over 30 years of global experience spanning semiconductor, cloud, AI/ML, medical, and IoT sectors. He built a distinguished career at Intel Corporation (1991–2016), where he served as Sr. Director in the Data Center Group and General Manager of Intel India, leading large-scale engineering teams and multimillion-dollar product portfolios.

In 2017, Mr. Shah founded Multus Medical, an AI/ML-based medical software firm, and NorthStar International Ventures, a family office investment company with interests in technology, real estate, healthcare, and finance.

He holds an MBA in Finance, an M.S. in Electrical Engineering, and a B.E. in Electronics & Communications Engineering

II. Brief Profile of Dr. Yellamanchali Sreenivas Rao

Dr. Y Sreenivasa Rao brings with him over four decades of experience in mechanical engineering, defence systems, and strategic project leadership. He retired as Director General (Naval Systems & Materials) from the Defence Research and Development Organisation (DRDO).

Dr. Rao holds a Ph.D. in Mechanical Engineering from Osmania University and is a Fellow of both the Aeronautical Society of India and the Institution of Engineers (India). He is also a Certified IPMA Level ‘A’ Project Director, recognized for managing complex, largescale programs. Currently, he serves as an Independent Director at Unistring Tech Solutions Pvt Ltd and actively engages with academia through VNR Vignana Jyothi Institute of Engineering & Technology.
