INVESTMENT AGREEMENT RELATING TO MONCLER S.P.A. – NOTICE PURSUANT TO ARTICLE 131, PARAGRAPH 4, LETTER B) OF CONSOB REGULATION NO. 11971/1999
With reference to the provisions concerning the purchase of ordinary shares of Moncler S.p.A. ("Moncler") by Double R S.r.l. ("DR"), relevant pursuant to Article 122, paragraph 5, letter c), of Legislative Decree No. 58/1998 (the "CFA"), set out in the "Investment Agreement" (the "Agreement"), entered into between Ruffini Partecipazioni Holding S.r.l. and, for certain specific provisions, Mr. Remo Ruffini, on the one hand, and White Investissement S.A.S. (the "Investor") and, for other specific provisions, LVMH Moët Hennessy Louis Vuitton S.E., on the other hand, it is hereby announced that, following the completion of the aforementioned purchases and the implementation of the last capital increase of DR in favor of the Investor, such provisions ceased to be effective as of 11 September 2025.
The other provisions of the Agreement, as well as the provisions (relevant pursuant to Article 122, paragraph 1 and paragraph 5, letters a), b) and d)-bis, of the CFA) set out in the shareholders' agreement currently in force among the same parties and (for certain additional specific provisions) DR, which regulate their relationships and respective rights and obligations as shareholders of DR and, with respect to certain clauses, as indirect shareholders of Moncler, shall remain in full force and effect in accordance with their respective terms and conditions.
