QUARTERLY REPORT TO 31 MARCH 2025

Moho Resources Limited ( ASX:MOH ) (“ Moho ”) (“ the Company ”) reports on its activities for the quarter ended 31 March 2025.

SUMMARY OF OPERATIONS

  • Binding Sale and Purchase agreement signed with Qld Aus Graphite Pty Ltd (QAG) for the sale of the Empress Springs Project located in Western Queensland.

  • Moho commenced a soil sampling program at the Silver Swan Project (E27/623) in late March to evaluate the gold potential of a targeted area that aligned with gold anomalies discovered by Poseidon Nickel at the Black Swan Project (M27/216).

  • The Company remains committed to conducting strategic reviews aimed at optimizing its portfolio and maximizing shareholder returns.

CORPORATE

Divestiture of Empress Springs

During the quarter, the Company entered into a binding Sale and Purchase Agreement (“Agreement’) with Qld Aus Graphite Pty Ltd (QAG) for the sale of the Empress Springs Project (“Empress Springs”). The total consideration for this transaction $1.258 million, which includes an initial cash payment of $258,000 and deferred payment of $1 million payable in 12 months, a well as a 1% net smelter royalty (NSR) on the project.

On 28 April 2025, Moho and QAG entered into a variation to amend the terms of the of the Empress Springs Project sale to include:

  • a. a cash payment of $408,500 (excluding GST) payable by QAG to Moho on the date of completion; and

  • b. a cash payment of $300,000 (excluding GST) payable by QAG to Moho on the date that is 12 months after the date of completion,

  • c. The cancellation of the 1% NSR

By executing this variation deed, both parties agreed that the completion of the purchaser’s legal, technical, financial and operational due diligence had been satisfied.

The divestment supports the Company strategic objective of realising value from its current assets while targeting new opportunities that will benefit the shareholders.

General Meeting

The Company held a General Meeting of Shareholders on 20 February 2025 at RM Capital, Level 1, 1205 Hay Street, West Perth WA 6005. All resolutions were passed on a poll.

EXPLORATION

Silver Swan Project (E27/623)

The Silver Swan Project (E27/623) sits on the eastern flank of the Kanowna/Scotia Dome within the Boorara Domain. The regional Mount Monger-Moriarty Fault runs east of E27/0623, which effectively straddles two major tectonic domains; the Kurnalpi Terrane to the east and Kalgoorlie Terrane to the west. The Kanowna Belle, Gordon-Sirdar, Mulgarrie and Gindalbie gold mining camps are all within 30 km of the tenement.

Poseidon Nickel (now Horizon Minerals ASX: HRZ) completed a tenement-wide soil sampling program in August 2024, the results identified a 3km long, 10-20ppb gold anomaly, the “Southern Anomaly” which is open onto the northern border of Moho’s tenement (HRZ: AGM Presentation November 2024).

During the quarter Moho collected 442 soil samples from across the entire tenement and gold assays are expected in May 2025. Pending the results of this sampling, Moho plans to follow up any significant gold anomalism with aircore drilling.

Weld Range North Project (E20/1012)

The Weld Range North Project, located in the Youanmi Terrain, is a syncline of generally low-grade metamorphosed deformed mafic/ultramafic assemblages with intervening felsic volcanics, such as tuffs and schists. The project includes two distinct types of Archean terrain namely, the predominant Yilgarn cratonic granitoids and the northern edge of the Weld Range Greenstone Belt.

Large-scale mafic/ultramafic processes in the Meso to Neoarchean era of the Yilgarn Craton in Western Australia have long been recognized and form part of several Large Igneous Provinces (LIP) spanning 100 million years. The Youanmi Terrane, located in the western Yilgarn Craton, is distinctive because its greenstone belts contain a high proportion of intrusive mafic and ultramafic rocks. It is believed that the overlapping magnetic and gravity anomalies at Moho’s Weld Range North Project are the geophysical indicators of one of these intrusions.

No significant exploration activities were undertaken during the quarter on the Weld Range North Project.

Summary of Exploration Expenditure (ASX Listing Rule 5.3.1)

In accordance with Listing Rule 5.3.1, the Company advises the cash outflows on its mining exploration activities reported in 1.2(1) of its Appendix 5B for the March 2025 quarter and detailed above were, $128,648.

Mining Production and Development (ASX Listing Rule 5.3.2)

There were no substantive mining production and development activities during the quarter.

Payment to Related Parties (ASX Listing Rule 5.3.5)

The Company advises the payments in section 6.1 of the Appendix 5B for the quarter are related to director fees.
