Sub: Disclosure regarding Change in Board of Directors

Dear Sir,

Pursuant to provisions of Regulation 30 (6) of SEBI (Listing & Disclosure Requirements) Regulation, 2015, it is hereby informed that Shri Umesh Sharma, Director (Finance) of the Company ceased to be on the Board of the Company w.e.f. 31[st] May, 2020, pursuant to attaining the age of superannuation as per the Office Order No. A-12022/5/2016-E IV dated 20/05/2020 issued by Ministry of Commerce & Industry, Department of Commerce, Udyog Bhawan, New Delhi.

After superannuation of Shri Umesh Sharma, Shri Kapil Kumar Gupta, has assumed the charge of Director(Finance) of MMTC Limited w.e.f. 01.06.2020(Forenoon), as per the Office Order No. A- 12022/9/2019-E-IV dated 03/03/2020 issued by the Department of Commerce, Ministry of Commerce & Industry Udyog Bhawan, New Delhi.

Shri Kapil Kumar Gupta, aged 51 years, is a Fellow Member of The Institute of Chartered Accountants of India, having work experience of more than 29 years in the field of Finance & Accounts. Prior to joining MMTC as Director(Finance) he was working as General Manager (Finance & Accounts) in Engineers India Limited, a Navratna PSU of Govt of India.

It is further informed that: -

• (i) Shri Kapil Kumar Gupta is not related to any Director on the Board of the Company on the date of his appointment in MMTC Limited.

• (ii) Shri Kapil Kumar Gupta is not debarred from holding the office of Director pursuant to any SEBI order or order of any other such authority.

The above intimation is pursuant to Regulation 30(3) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015.
