2 EXECUTIVE DIRECTOR’S LETTER

Dear Shareholder

On behalf of MinRex Resources Limited, I am pleased to invite you to participate in a 3 for 4 nonrenounceable pro-rata entitlement offer at an issue price of $0.06 per New Share to raise up to $950,906 (before costs).

The Company previously advised Shareholders that the Company’s financial position required it to raise equity capital in the near term to fund its continuing exploration programs on its current projects and to evaluate and conduct due diligence on new investment opportunities to increase shareholder value. The Board has decided that in consideration of all the circumstances, a non-renounceable rights issue is the best method.

Accordingly, as announced on 1 June 2016, the Directors have decided to offer all Shareholders the opportunity to participate in a 3 for 4 non-renounceable pro-rata entitlements issue of New Shares in the Company ( Offer ). Shareholders may also apply for New Shares in excess of their entitlement.

I refer shareholders to the Company’s website (www.minrex.com.au) which sets out further information on the Company’s existing assets, new Board appointments and the Company’s intention to evaluate investment opportunities.

All Shareholders registered as at 5.00pm WST on 17 June 2016 will be entitled to participate in an offer of New Shares on the basis of 3 New Shares for every 4 Shares then held at an issue price of $0.06 per New Share in order to raise up to $950,906.

The Closing Date for acceptances is 5.00pm WST on 4 July 2016.

The proceeds from the Offer will be used as follows:

  • (a) provide additional working capital to fund the Company’s exploration program on its existing projects;

  • (b) due diligence on possible asset acquisitions; and

  • (c) fund the costs of the Offer.

This Prospectus contains important information about the Offer, including details of the Offer, key dates and actions to be taken by Eligible Shareholders.

3 INVESTMENT OVERVIEW AND KEY RISKS

This information is a selective overview only. Eligible shareholders should read the Prospectus in full before deciding to invest in New Shares.

3.1 The Offer

Under this Prospectus up to 15,848,438 New Shares are being offered to Eligible Shareholders (assuming no Options are exercised) at an issue price of $0.06 on the basis of 3 New Shares for every 4 Shares held.

Eligible Shareholders can, in addition to their Entitlement, also apply for Shortfall Shares.

There is no minimum subscription for the Offer.

3.3 Use of the Offer Proceeds

The Company intends to use the funds raised from the Offer broadly as follows:

  • (a) further exploration work on the Company’s two tenements;

  • (a) due diligence, deal negotiation costs and shareholder and regulatory approvals for new corporate opportunities (if and when any suitable transaction is proposed by the Board);

  • (b) provide additional working capital to fund the Company’s ongoing costs; and

  • (c) the costs of the Offer.

3.4 Rationale for the Offer

The Company has been listed as a junior explorer on the ASX for the last four and a half years. During that time, the Company has not sought to raise any additional capital to that raised in the IPO in the latter half of 2011. Over that time, the Board of the Company has carefully managed the capital of the Company, whilst carrying out exploration activities on its two tenements and actively seeking other corporate opportunities to grow shareholder wealth.

The time has now come to replenish the Company’s working capital, so as to continue to pursue the initiatives outlined in 3.3 above.

3.5 Risk Factors

Potential investors should be aware that subscribing for New Shares in the Company involves a number of risks. financing and operating activities. If the Company is
unable to obtain additional financing as needed, it
may be required to reduce the scope of its operations
and scale back its exploration and development
programmes as the case may be. There is however no
guarantee that the Company will be able to secure
any additional funding or be able to secure funding on
terms favourable to the Company.

3.6 Recent Appointments

Mr David Hannon was appointed a Director of the Company to fill a casual vacancy on 4 April 2016, following the resignations of Mr Abraham Schildkraut on 4 April 2016 and Mr Emmanuel Heyndrickx on 5 April 2016. These changes to the composition of the Board were announced to the ASX on 6 April 2016.

3.9 Applying for Shares

Applications can be made by Eligible Shareholders completing the Entitlement and Acceptance Form and sending it to the Company’s Share Registry. Eligible Shareholders may also apply for Shortfall Shares by following the instructions in section 5.9.

3.10 Allocation of Shortfall Shares

The Directors will allocate any Shortfall Shares as follows:

  • (a) firstly, to Minimum Parcel Shareholders who apply for Shortfall Shares, so that they will have a minimum parcel of Shares tradable on ASX; and then

  • (b) to Eligible Shareholders who apply for Shortfall Shares; and then

  • (c) at the discretion of the Directors, to applicants who apply for Shortfall Shares.

3.11 Expenses of the Offer

In the event that all Entitlements are accepted, the total expenses of the Offer are estimated to be approximately $49,800 (excluding GST) and are expected to be applied towards the items set out in the table below.

The Directors reserve the right to pay a commission or brokerage fee of up to 6% on all applications for Shortfall Shares submitted by holders of Australian Financial Services Licences and accepted pursuant to section 3.10(c). Any brokerage is not included as a cost in this table as it is not possible at the date of this Prospectus to quantify the extent of any Shortfall and the quantum of Applications from Eligible Shareholders for Shortfall Shares. The Board will only allocate the Shortfall in accordance with section 3.10.

3.13 Effect of the Offer

The principal effect of the Offer assuming all Entitlements are accepted and no Options are exercised prior to the Record Date, will be to:

  • (a) increase the cash reserves by $901,106 (after deducting the estimated expenses of the Offer) immediately after completion of the Offer; and

  • (b) increase the number of Shares on issue from 21,131,251 as at the date of this Prospectus to 36,979,689 Shares.

3.14 Statement of Financial Position (unaudited)

Set out below is the Statement of Financial Position of the Company (unaudited) and the Pro-Forma Statement of Financial Position as at 31 March 2016 based on the following assumptions:

  • (a) the Offer was effective as at 31 March 2016;

  • (b) no further Shares are issued (including by way of exercise of Options);

  • (c) completion of the Offer to raise $950,906 (full subscription) before expenses of the Offer; and

  • (d) expenses of the Offer of approximately $49,800 which have been offset against proceeds of the issue.

The significant accounting policies upon which the Statement of Financial Position and the Pro-Forma Statement of Financial Position are based are contained in the audited financial report of the Company for the year ended 30 June 2015.

4 RISK FACTORS

The New Shares offered under this Prospectus are considered speculative. An investment in the Company is not risk free and the Directors strongly recommend potential investors to consider the risk factors described below and together with information contained elsewhere in this Prospectus and to consult with their professional advisers before deciding whether to apply for the New Shares pursuant to this Prospectus.

There are specific risks which relate directly to the Company’s business and circumstances. In addition, there are general risks, many of which are largely beyond the control of the Company and the Directors. The risks identified in this section, or other risk factors, may have a material impact on the financial performance of the Company and the market price of the New Shares.

The following is not intended to be an exhaustive list of the risk factors to which the Company is exposed.

4.1 Risk specific to the Offer

(a) Future funding

The funds raised by the Offer will primarily be used to continue exploration of the Company’s existing tenements, identify new investment opportunities and for general working capital. The Company will be required to raise further funds for future operational activities. There is a risk that further raisings may not be on terms favourable to, or dilute, existing Shareholders.

(b) Dilution

Shareholders who do not take up their Entitlement will have their holding in the Company diluted.

(c) Control

The Directors have taken reasonable steps to ensure a reasonable distribution of voting power under the Offer. However, assuming some shareholders take up their Entitlement and others do not, there is a risk that voting power may be consolidated among fewer shareholders and the interests of these Shareholders may not align with other Shareholders’ interests.

4.2 Company and industry risks

The risks outlined below are specific to the Company’s operations and to the resource exploration industry in which the Company operates.

(a) Exploration, Development and Production Risks

Tenements in which the Company has an interest are at various stages of exploration and development and potential investors should understand that mineral exploration is a high risk undertaking. There can be no assurance that exploration of the project areas described in this Prospectus, or any other permits that the Company may acquire an interest in, will result in the discovery of an economic mineral reserve. Even if an apparently viable reserve is identified, there is no guarantee that it can be commercially exploited.

Even if the Company recovers potentially commercial minerals, there is no guarantee that it will be able to successfully transport the minerals to commercially viable markets or sell the minerals to customers to achieve a commercial return.

In addition, with respect to operations, the Company operates in some remote locations within

Australia and challenging geographical conditions. Therefore some exploration and development costs maybe higher in such jurisdictions due to a number of factors including limitations on the number of available suppliers of services required by the Company, climatic and geographical conditions.

(b) Tenement Risks

All exploration permits in which the Company has an interest will require renewal from time to time. Given that the terms on which the Company’s licences are granted or renewed (if at all) are generally at the discretion of the relevant governmental or administrative authority, there is a risk that any exploration licence held by the Company may not be renewed in the future, or that any application for grant may be refused, and that the Company may be unable to comply with legislative or regulatory requirements to retain title to its Tenements. If for any reason a licence or permit is not renewed then the Company may suffer damage and as a result may be denied the opportunity to develop certain mineral resources.

Tenements carry with them various obligations in regard to minimum expenditure levels and responsibilities in respect of the environment and safety. Failure to observe these requirements could prejudice the right to maintain a permit for a given tenement. As a means of managing its expenditure obligations on its Tenements, the Company constantly reviews its exploration portfolio, ensuring that it keeps the most prospective areas having regard to its finances and plans. Part of this review may involve reducing its landholding over time.

The Company’s operations and projects are subject to Australian Commonwealth and State laws and regulations regarding environmental compliance and relevant hazards. These laws and regulations set standards regulating certain aspects of health and environmental quality and provide for penalties and other liabilities for the violation of such standards. They also establish, in certain circumstances, obligations to rehabilitate current and former facilities and locations where operations are or were conducted.

As with most exploration projects and mining operations, the Company’s activities are expected to have an impact on the environment, particularly in advanced exploration or mine development. It is the Company’s intention to conduct its activities to the highest standard of environmental obligation, including compliance with all environmental laws and where possible, by carrying appropriate insurance coverage.

Mining operations have inherent risks and liabilities associated with safety and damage to the environment and the disposal of waste products occurring as a result of mineral exploration and production. The occurrence of any such safety or environmental incident could delay production or increase production costs. Significant liabilities could be imposed on the Company for damages, clean-up costs or penalties in the event of certain discharges into the environment, environmental damage caused by previous operations or non-compliance with environmental laws or regulations.

There is a risk that environmental laws and regulations become more onerous making the Company’s operations more expensive.

(d) Access risk and native title

Access to land for exploration purposes can be adversely affected by land ownership, including private (freehold) land, pastoral lease and native title land or claims under the Native Title Act 1993 (Cth) (NTA) (or similar legislation in the jurisdiction where the Company operates). The

effect of the NTA is that existing tenements held by the Company may be affected by native title claims and procedures.

There is a potential risk that a determination could be made that native title exists in relation to land the subject of a tenement held by the Company which may affect the operation of its business and development activities. In the event that it is determined that native title does exist or a native title claim has been registered, the Company may need to comply with procedures under the NTA in order to carry out its operations or to be granted any additional rights required.

Such procedures may take considerable time, involve the negotiation of significant agreements, may involve access rights, and require the payment of compensation to those persons holding or claiming native title in the land the subject of a tenement. The involvement in the administration and determination of native title issues may have a material adverse impact on the position of the Company in terms of cash flows, financial performance, business development, ability to pay future dividends and the share price.

(e) Joint venture, acquisitions or other strategic investments

The Company is actively pursuing investment opportunities beyond its tenements to deliver new value adding projects. However, there is a risk that the Company may not be successful in finding suitable projects. While the Company will spend money evaluating and assessing new opportunities, these opportunities may not be suitable for the Company. This could adversely impact on the assets, operations and financial performance of the Company and its securities.

The operations of the Company may be disrupted by a variety of risks and hazards which are beyond the control of the Company, including geological conditions, environmental hazards, technical and equipment failures, flooding and extended interruptions due to inclement or hazardous weather or other physical conditions, unavailability of drilling equipment, unexpected shortages of consumables or parts and equipment, fire, explosions and other incidents beyond control of the Company.

As an explorer for gold, tin and potentially other minerals, any earnings of the Company are expected to be closely related to the price of these commodities.

These factors include worldwide and regional supply and demand for commodities, general world economic conditions and the outlook for interest rates, inflation, foreign exchange rates and other economic factors on both a regional and global basis. 4.3 General investment risks

The risks outlined below are some of the general risks that may affect an investment in the Company.

(a) Securities investments and share market conditions

There are risks associated with any securities investment. The prices at which the securities trade may fluctuate in response to a number of factors.

Furthermore, the stock market, and in particular the market for exploration and mining companies may experience extreme price and volume fluctuations that may be unrelated or disproportionate to the operating performance of such companies. These factors may materially adversely affect the market price of the securities of the Company regardless of the Company's operational performance. 5 DETAILS OF THE OFFER

5.1 The Offer

The Offer is being made as a non-renounceable entitlement issue of three (3) New Shares for every four (4) Shares held by Shareholders registered at the Record Date at an issue price of $0.06 per New Share. Fractional entitlements will be rounded down to the nearest whole number.

Based on the capital structure of the Company as at the date of this Prospectus and assuming all Entitlements are accepted, a maximum of 15,848,438 New Shares will be issued pursuant to this Offer to raise $950,906, before costs.

As at the date of this Prospectus, the Company has 16,625,000 $0.20 Options on issue, some of which may be exercised prior to the Record Date in order to participate in the Offer. Please refer to section 3.15 of this Prospectus for information on the exercise price and expiry date of the Options on issue.

All of the New Shares offered under this Prospectus will rank equally with the Shares on issue at the date of this Prospectus. Please refer to section 6 for further information regarding the rights and liabilities attaching to the Shares.

The purpose of the Offer and the intended use of funds raised are set out in section 3.3 and 3.4 of this Prospectus.

5.2 What Eligible Shareholders may do

The number of New Shares to which Eligible Shareholders are entitled is shown on the accompanying personalised Entitlement and Acceptance Form. Eligible Shareholders may:

If you take no further action, the balance of your Entitlement will lapse and you will have forfeited any potential benefit to be gained from taking up that part of your Entitlement.

5.5 Implications of an acceptance

Returning a completed Entitlement and Acceptance Form or paying any Application Monies by BPAY® will be taken to constitute a representation by you that:

  • (a) you have received a copy of this Prospectus and the accompanying Entitlement and Acceptance Form, and read them both in their entirety; and

  • (b) you acknowledge that once the Entitlement and Acceptance Form is returned, or a BPAY® payment instruction is given in relation to any Application Monies, the application may not be varied or withdrawn except as required by law.

5.8 Payment by BPAY[®]

For payment by BPAY®, please follow the instructions on the personalised Entitlement and Acceptance Form. You can only make a payment via BPAY® if you are the holder of an account with an Australian financial institution that supports BPAY® transactions. Please note that should you choose to pay by BPAY®:

  • (a) you do not need to submit the Entitlement and Acceptance Form but are taken to have made the declarations on that Entitlement and Acceptance Form; and

  • (b) if you do not pay for your Entitlement in full, you are deemed to have taken up your Entitlement in respect of such whole number of New Shares which is covered in full by your application monies.

It is your responsibility to ensure that your BPAY® payment is received by the share registry by no later than 5.00pm (WST) on the Closing Date. You should be aware that your financial institution may implement cut-off times with regards to electronic payment and you should therefore take this into consideration when making payment. 5.9 Shortfall Offer

The offer of the Shortfall is a separate offer pursuant to this Prospectus. New Shares not taken up by Eligible Shareholders will form part of the Shortfall Offer. The issue price of any New Shares offered pursuant to the Shortfall Offer will be $0.06 each, which is the issue price at which the Offer has been made to Eligible Shareholders.

Eligible Shareholders

Eligible Shareholders may, in addition to their Entitlement, apply under the Shortfall Offer, regardless of the size of their present holding.

Eligible Shareholders who wish to apply for Shortfall Shares above their Entitlement can complete the appropriate boxes on the Entitlement and Acceptance Form accompanying this Prospectus and return it together with a cheque for the value of those Shortfall Shares (at $0.06 per Shortfall Share) to the Share Registry or make a BPAY® in excess of the total value of your Entitlement.

Other Investors

Other investors can apply for Shortfall Shares by completing the Shortfall Application Form attached to this Prospectus and returning it together with a cheque for the value of those Shortfall Shares (at $0.06 per Shortfall Share) to the Share Registry.

Shortfall Shares will only be issued if the Offer is undersubscribed and will only be issued to the extent necessary to make up any shortfall in subscriptions. The Directors will place the Shortfall within 3 months after the close of the Offer subject to clause 3.10, the Listing Rules and any restrictions under any applicable law. The Company reserves the right to allot to an Applicant a lesser number of Shortfall Shares than the number for which the Applicant applies, or to reject an Application, or to not proceed with the Shortfall Offer or issue of any Shortfall Shares. The Directors reserve the right to pay a commission or brokerage fee of up to 6% on all applications for Shortfall Shares submitted by holders of Australian Financial Services Licences.

5.10 ASX listing

Application for Official Quotation of the New Shares offered pursuant to this Prospectus will be made in accordance with the timetable set out at the commencement of this Prospectus. If ASX does not grant Official Quotation of the New Shares offered pursuant to this Prospectus before the expiration of 3 months after the date of issue of the Prospectus (or such period as varied by the ASIC), the Company will not issue any New Shares and will repay all Application Monies for the New Shares within the time prescribed under the Corporations Act, without interest.

The fact that ASX may grant Official Quotation to the New Shares is not to be taken in any way as an indication of the merits of the Company or the New Shares now offered for subscription.

5.11 Allotment

New Shares issued pursuant to the Offer will be allotted in accordance with the Listing Rules and timetable set out at the commencement of this Prospectus.

New Shares issued pursuant to the Shortfall Offer will be allotted on a progressive basis. Where the number of New Shares issued is less than the number applied for, or where no allotment is made, surplus Application Monies will be refunded without any interest to the Applicant as soon as practicable after the closing date of the Shortfall Offer.

Pending the allotment and issue of the New Shares or payment of refunds pursuant to this Prospectus, all Application Monies will be held by the Company in trust for the Applicants in a separate bank account as required by the Corporations Act. The Company, however, will be entitled to retain all interest that accrues on the bank account and each Applicant waives the right to claim interest.

Holding statements for New Shares issued under the Offer will be mailed in accordance with the ASX Listing Rules and timetable set out at the commencement of this Prospectus and for Shortfall Shares as soon as practicable after their issue.

5.12 Offer outside Australia and New Zealand

Recipients may not send or otherwise distribute this Prospectus or the Entitlement and Acceptance Form to any person outside Australia and New Zealand.

5.13 Treatment of Ineligible Shareholders

Given the small number of Ineligible Shareholders and the cost of complying with applicable regulations in those jurisdictions, the Company has decided that it would be unreasonable to extend the Offer to Ineligible Shareholders. The Prospectus will not be sent to those Shareholders.

5.15 CHESS

The Company participates in the Clearing House Electronic Subregister System ( CHESS ). CHESS is operated by ASX Settlement Pty Ltd ( ASPL ), a wholly owned subsidiary of ASX.

Under CHESS, the Company does not issue certificates to investors. Instead, security holders will receive a statement of their holdings in the Company, including New Shares issued under this Prospectus. If an investor is broker sponsored, ASPL will send a CHESS statement.

5.16 Taxation and duty implications

The Directors do not consider that it is appropriate to give Shareholders advice regarding the taxation consequences of the Company conducting the Offer or Shareholders applying for New Shares under this Prospectus, as it is not possible to provide a comprehensive summary of the possible taxation positions of Shareholders. The Company, its advisers and officers, do not accept any responsibility or liability for any taxation consequences to Shareholders in the Offer. 5.17 Brokerage

No brokerage or duty is payable by Applicants in respect of Applications for New Shares under this Prospectus.

However, the Directors reserve the right to pay a commission or brokerage fee of up to 6% on all applications for Shortfall Shares submitted by holders of Australian Financial Services Licences and accepted pursuant to section 3.10(c).

5.18 Privacy

The Company collects information about each Applicant provided on an Entitlement and Acceptance Form for the purposes of processing the Application and, if the Application is successful, to administer the Applicant’s security holding in the Company.

By submitting an Entitlement and Acceptance Form, each Applicant agrees that the Company may use the information provided by an Applicant on the Entitlement and Acceptance Form for the purposes set out in this privacy disclosure statement and may disclose it for those purposes to the Share Registry, the Company’s related body corporates, agents, contractors and third party service providers, including mailing houses and professional advisors, and to ASX and regulatory authorities.

If an Applicant becomes a Shareholder, the Corporations Act requires the Company to include information about the Shareholder (including name, address and details of the Shares held) in its public register. The information contained in the Company’s public register must remain there even if that person ceases to be a Shareholder. Information contained in the Company’s register is also used to facilitate distribution payments and corporate communications (including the Company’s financial results, annual reports and other information that the Company may wish to communicate to its security holders) and compliance by the Company with legal and regulatory requirements.

6 RIGHTS AND LIABILITIES ATTACHING TO SHARES

Full details of the rights and liabilities attaching to the Shares are:

  • detailed in the Constitution, a copy of which can be inspected, free of charge, at the registered office of the Company during normal business hours; and

  • in certain circumstances, regulated by the Corporations Act, the Listing Rules and the general law.

The following is a summary of the more significant rights and liabilities attaching to the Shares. This summary is not exhaustive and does not constitute a definitive statement of the rights and liabilities of Shareholders. To obtain such a statement, persons should seek independent legal advice.

(a) Voting Rights

Subject to any rights or restrictions for the time being attached to any class or classes of shares, at a general meeting of members every member has one vote on a show of hands and one vote per Share on a poll. Voting may be in person or by proxy, attorney or representative.

(b) Dividends

Subject to the rights of holders of shares issued with any special rights (at present there are none), the future profits of the Company which the Board may from time to time determine to distribute by way of dividend are divisible to each share of a class on which the Board resolves to pay a dividend in proportion to the amount for the time being paid on a share bears to the total issue price of the share. All Shares currently on issue and the shares to be issued under this Prospectus are fully paid Shares.

(c) Future Issues of Securities

Subject to the Corporations Act and the Listing Rules, the Directors may issue, grant options over, or otherwise dispose of unissued shares in the Company at the times and on the terms that the Directors think proper and a share may be issued with preferential or special rights.

(d) Transfer of Shares

A shareholder may transfer Shares by a market transfer in accordance with any computerised or electronic system established or recognised by ASX for the purpose of facilitating transfers in Shares or by an instrument in writing in a form approved by ASX or the Board.

(e) Meetings and Notices

Each shareholder is entitled to receive notice of, and to attend, general meetings for the Company and to receive all notices, accounts and other documents required to be sent to shareholders under the Constitution, the Corporations Act or the Listing Rules.

Shareholders may requisition meetings in accordance with the Corporations Act.

(f) Election of Directors

There must be a minimum of 3 Directors. At every annual general meeting one third of the Directors (rounded to the nearest whole number) must retire from office. If the Company has less than 3 Directors, one Director must retire from office together with any Director who would have held office for more than 3 years if that Director remains in office until the next general meeting. These retirement rules do not apply to certain appointments including the managing director.

(g) Indemnities

To the extent permitted by law the Company must indemnify each past and present Director and secretary against any liability incurred by that person as an officer of the Company and any legal costs incurred in defending an action in respect of such liability.

(h) Winding Up

If the Company is wound up, the liquidator may, with the sanction of a special resolution of the shareholders:

  • divide the assets of the Company among the members in kind;

  • for that purpose fix the value of assets and decide how the division is to be carried out as between the members and different class of members; and

  • vest assets of the Company in trustees on any trusts for the benefit of the members as the liquidator thinks appropriate.

(i) Shareholder Liability

As the Shares under the Prospectus are fully paid Shares, they are not subject to any calls for money by the Directors and will therefore not become liable for forfeiture.

(j) Alteration to the Constitution

The Constitution can only be amended by a special resolution passed by at least three quarters of shareholders present and voting at the general meeting. At least 28 days written notice specifying the intention to propose the resolution as a special resolution must be given.

(k) Listing Rules

If the Company is admitted to trading on the Official List, then despite anything in the Constitution, if the Listing Rules prohibit an act being done, the act must not be done. Nothing in the Constitution prevents an act being done that the Listing Rules require to be done. If the Listing Rules require an act to be done or not to be done, authority is given for that act to be done or not to be done (as the case may be). If the Listing Rules require the Constitution to contain a provision and it does not contain such a provision, the Constitution is deemed to contain that provision. If the Listing Rules require the Constitution not to contain a provision and it contains such a provision, the Constitution is deemed not to contain that provision. The Company is a "disclosing entity" (as defined in section 111AC of the Corporations Act) for the purposes of section 713 of the Corporations Act and is subject to regular reporting and disclosure obligations. This Prospectus is intended to be read in conjunction with the publicly available information in relation to the Company which has been notified to ASX and does not include all of the information that would be included in a prospectus for an initial public offering of securities in an entity that is not already listed on a stock exchange. Remuneration

The remuneration of an executive Director is decided by the Board, without the affected executive Director participating in that decision-making process. The total maximum remuneration of nonexecutive Directors is initially set by the Constitution and subsequent variation is by ordinary resolution of Shareholders in general meeting in accordance with the Constitution, the Corporations Act and the ASX Listing Rules, as applicable. The determination of non-executive Directors’ remuneration within that maximum will be made by the Board having regard to the inputs and value to the Company of the respective contributions by each non-executive Director.

A Director may be paid fees or other amounts (i.e. non-cash performance incentives such as Options, subject to any necessary Shareholder approval) as the other Directors determine where a Director performs special duties or otherwise performs services outside the scope of the ordinary duties of a Director. In addition, Directors are also entitled to be paid reasonable travelling, hotel and other expenses incurred by them respectively in or about the performance of their duties as Directors. Given

the absence of any full time management employees of the Company, a Director may be paid consulting fees at below commercial rates for work done in relation to the ongoing management of the Company, including work done in relation to the Offer.

Other Interests

Other than as set out above or elsewhere in this Prospectus, no Director or proposed Director holds at the date of this Prospectus, or held at any time during the last two years before the date of lodgement of this Prospectus with the ASIC, any interest in:

  • (a) the formation or promotion of the Company; or

  • (b) any property acquired or proposed to be acquired by the Company in connection with its formation or promotion of the Company or the Offer; or

  • (c) the Offer,

and no amounts have been paid or agreed to be paid by any person and no benefits have been given or agreed to be given by any person:

  • (d) to a Director or proposed Director to induce him or her to become, or to qualify as, a Director; or

  • (e) for services provided by a Director or proposed Director in connection with the formation or promotion of the Company or the Offer.

7.3 Interests of advisors

Except as disclosed in this Prospectus, no expert, promoter or any other person named in this Prospectus as performing a function in a professional advisory or other capacity in connection with the preparation or distribution of the Prospectus, nor any firm in which any of those persons is or was a partner nor any company in which any of those persons is or was associated with, has now, or has had, in the two year period ending on the date of this Prospectus, any interest in:

  • (a) the formation or promotion of the Company; or

  • (b) property acquired or proposed to be acquired by the Company in connection with its formation or promotion or the Offer; or

  • (c) the Offer.

Thompson Downey Cooper has acted as the solicitors to the Company in relation to the Offer. The Company estimates it will pay Thompson Downey Cooper $3,000 (excluding GST and disbursements) for these services. Robert Downey is a principal of Thompson Downey Cooper.

Each of the parties referred to in this section does not make, or purport to make, any statement in this Prospectus other than those referred to in this section and to the maximum extent permitted by law, expressly disclaims and takes no responsibility for any part of this Prospectus other than a reference to its name and a statement included in this Prospectus with the consent of that party as specified in this section.

Ernst & Young has given its written consent to being named as the auditors to the Company in this Prospectus. Ernst & Young has not withdrawn its consent prior to the lodgement of this Prospectus with the ASIC.

7.5 Litigation

Other than as disclosed elsewhere in this Prospectus, as at the date of this Prospectus, the Company is not involved in any legal proceedings of a material nature and the Directors are not aware of any legal proceedings pending or threatened against the Company.

7.6 Financial Forecasts

The Directors have considered the matters set out in the ASIC Regulatory Guide 170 and believe that they do not have a reasonable basis to forecast future earnings on the basis that the operations of the Company are inherently uncertain. Accordingly, any forecast or projection information would contain such a broad range of potential outcomes and possibilities that it is not possible to prepare a reliable estimate forecast or projection.
