FULFILMENT OF CONDITION PRECEDENTS UNDER THE INVESTMENT AGREEMENT REGARDING THE ACQUISITION OF A 32.9% STAKE IN IMPRESA
MFE-MEDIAFOREUROPE N.V. ("MFE") hereby informs that, further to the Investment Agreement previously entered into with Impresa – Sociedade Gestora de Participações Sociais, S.A. ("Impresa") and Impreger – Sociedade Gestora de Participações Sociais, S.A. regarding the acquisition by MFE of a 32.9% stake in Impresa (the "Investment Agreement"), today the Portuguese Securities Market Commission ("CMVM") has confirmed that the Investment Agreement and the acts provided for therein do not impose on MFE the obligation to launch a public takeover bid for all shares and other securities issued by Impresa that confer the right to subscribe or acquire them.
The aforementioned confirmation by the CMVM was the last condition precedent to be fulfilled of the Investment Agreement. MFE will keep the market informed of relevant subsequent developments, including regarding the subscription of the capital increase of Impresa provided for under the Investment Agreement, in strict compliance with its legal and regulatory obligations.

AVVERAMENTO DELLE CONDIZIONI SOSPENSIVE PREVISTE DALL'ACCORDO DI INVESTIMENTO RELATIVO ALL'ACQUISIZIONE DI UNA PARTECIPAZIONE DEL 32,9% IN IMPRESA
MFE-MEDIAFOREUROPE N.V. ("MFE") rende noto che, a seguito della conclusione dell'Accordo di Investimento con Impresa – Sociedade Gestora de Participações Sociais, S.A. ("Impresa") e Impreger – Sociedade Gestora de Participações Sociais, S.A. relativo all'acquisizione da parte di MFE di una partecipazione del 32,9% in Impresa (l'"Accordo di Investimento"), in data odierna l'autorità portoghese per il mercato dei valori mobiliari ("CMVM") ha confermato che l'Accordo di Investimento e gli atti ivi previsti non impongono a MFE l'obbligo di lanciare un'offerta pubblica di acquisto su tutte le azioni e gli altri titoli emessi da Impresa che conferiscono il diritto di sottoscriverli o acquisirli.
La suddetta conferma da parte della CMVM era l'ultima condizione sospensiva da avverare secondo l'Accordo di Investimento. MFE terrà informato il mercato in merito a eventuali sviluppi successivi rilevanti, anche in relazione alla sottoscrizione dell'aumento di capitale di Impresa previsto dall'Accordo di Investimento, nel rigoroso rispetto dei propri obblighi legali e normativi.
