Distribution Schedule and Top 20 Shareholders following end of Takeover Offer Period

MetroCoal Limited's ACN 117 763 443 (MetroCoal) off-market takeover bid for all the fully paid ordinary shares in Cape Alumina Limited ACN 107 817 694 (Cape) (Offer) closed on 10 November 2014.

Following the close of the Offer, in accordance with ASX Listing Rule 3.4.1, MetroCoal provides the following information:

• 1. a distribution schedule for shares in MetroCoal as set out in ASX Listing Rule 4.10.7 (Distribution Schedule); and
• 1. the names of, number of shares held by and percentages held by the 20 largest shareholders of MetroCoal as set out in ASX Listing Rule 4.10.9 (Top 20 Shareholder List).

The Distribution Schedule and the Top 20 Shareholder List have been prepared on the basis that MetroCoal has now issued to Cape shareholders all of the consideration shares for acceptance received as at the close of the Offer.

MetroCoal issued a compulsory acquisition notice on 13 November 2014 in order to compulsorily acquire the remaining shares in Cape in accordance with the Corporations Act 2001 (Cth).
