Further Extension of Conditional Agreement

QUOTE

The board of directors of the Company refers to the conditional framework agreement between Anthony S. Diacono, Anthony J. Duncan and Malampaya Investments Limited and AMT S.A. As announced on the 28 January 2020, the parties to the said agreement extended the deadline for the completion of certain conditions to the 6th March 2020.

The Company is informed that the parties have agreed that the said deadline will be further extended to the 17th April 2020 in order to provide additional time to the parties to complete each of their respective conditions, including the board approval of the share for share exchange referred to in announcement 196/2019 and 199/2019.

The Company wishes to inform the public that, in so far as the share for share exchange is concerned, the financial, legal and tax due diligence on AMT SA and its subsidiary/associated companies is at an advanced stage and the Company and AMT SA are in negotiations in respect of the share purchase agreement, which negotiations are expected to continue during the extended period above referred. The Company will keep the market informed of any further developments in this regard.
