Conditional registration of mBank shares by KDPW

The Management Board of mBank S.A. _"the Bank"_ hereby states that onOctober 12, 2020 the Polish National Depository for Securities S.A.("KDPW") conditionally registered 172 ordinary bearer's shares in theBank with face value of PLN 4 per share, issued pursuant to ResolutionNo. 38 of the 31st Ordinary General Meeting of the Bank of 9 May 2018re. the Issue of Subscription Warrants, Conditional Share CapitalIncrease with Divestment of the Existing Shareholders' Pre-emptive RighttoSubscription Warrants and Shares, Change of the Company's By-Laws andon Applying for Admission of Shares to Trading on the Regulated Market,and Dematerialisation of Shares, and assigned code PLBRE0000012 to them.

The registration is conditional upon introducing the above-mentionedshares into trading on the same regulated market where other shares inthe Bank have been introduced and marked PLBRE0000012.

The above-mentioned Bank shares will be registered with KDPW withinthree days from day in which KDPW receives the decision regardingintroduction of the Bank shares on the same regulated market where otherBank shares marked PLBRE0000012 have been introduced by the Bank,howevernot earlier than on the day defined in the same decision as the date ofintroduction of the said shares into trading on the market in question.
