Appointment of a new member of the Supervisory Board of mBank S.A.

The Management Board of mBank S.A. ("the Bank") announces that under aresolution of the Bank's Supervisory Board of 22 October 2020, SabineSchmittoth was appointed as the member of the Supervisory Board of mBankS.A., as of 23 October 2020, until the end of the current term of theSupervisory Board.

Sabine Schmittroth completed her apprenticeship as a bank clerk atDresdner Bank AG in 1986. After passing the Instructor Aptitude Testwith the Chamber of Commerce & Industry (IHK) Frankfurt am Main in 1989,she further acquired various internal qualifications in Credit (1989),as a Trainer (1990) and in Securities (1996). Moreover, she completed atraining in Coaching at the European Business School in Oestreich-Winkelin 2001, the High Performance Leadership (HPL) program of IMD BusinessSchool in Lausanne in 2013 as well as the Compliance Management (CAS)program of the University of St. Gallen in 2020.

Since the start of her career Sabine Schmittroth worked at Dresdner Bankin various positions. Between 1999 and 2009, she took on differentmanagement roles where she was responsible for the securities advisoryand later on sales support. After being the Spokeswoman of the Board ofManaging Directors of Commerz Direktservice GmbH from 2009 to 2010,Sabine Schmittroth assumed responsibility for the sales managementbranch banking of Commerzbank AG until 2014. From 2016 until 2019,Sabine Schmittroth was a Member of the Divisional Board of Privat andSmall Business Customers.

In January 2020, Sabine Schmittroth was appointed as Member of the Boardof Managing Directors of Commerzbank AG responsible for Human Resources,Compliance and Customer Process & Data Management. Since October 2020she has additionally taken on responsibility for the business segmentPrivate Customers and subsequently discontinued her role as the actingboard member for Compliance.

Sabine Schmittroth is a member of supervisory boards of comdirect bankAG, Commerz Real AG and Commerz Real Investmentgesellschaft mbH.

To the best of the Management Board's knowledge, Sabine Schmittroth isnot involved in any activities which compete with those carried out bythe Bank.

In accordance with the criteria applied by the Bank, Sabine Schmittrothis not an independent member of the Supervisory Board of the Bank.

Sabine Schmittroth has no records in the Register of Insolvent Debtorsmaintained under the National Court Register Act.
