(Bank) announces that on 12 April2016 the Bank received a information from Mr Joerg Hessenmuellerinformation about his resign from the position of Member of theManagement Board - Vice-President of the Management Board of mBank S.A.- Chief Financial Officer, as of (and including) 30 June 2016.

Acceptance of new tasks within the Commerzbank Group is the cause of Mr.Hessenmueller resignation.
