MARE GROUP: "GOLDEN POWER" CLEARANCE FOR THE MERGER OF POWERFLEX

Mare Group S.p.A. (ticker MARE.MI), an engineering company listed on Euronext Growth Milan and active in Italy and abroad in innovation through enabling technologies ("Mare Group" or the "Company"), announces that, with reference to the merger project of Powerflex S.r.l. announced on September 22, 2025, it has received from the Presidency of the Council of Ministers, on November 3, 2025, the official communication of non-exercise of the "Golden Power" prerogative, allowing the Transaction to proceed, with completion expected within the current year.
Mare Group thus continues its plan to integrate vertical expertise and strengthen its execution capacity on complex projects, generating operational synergies and expanding its national presence, further reinforcing its Aerospace & Defense operations.
