EMPLOYEE AND OFFICERS SHARE SCHEME
In accordance with Article 24.4 of the Company's constitution an Employee and Officers Share Scheme has been approved by the Directors to apply to all executives, employees and Executive members of the Company's Board of Directors and Secretary based on the Company's performance.
The aim of the Scheme is to reward the executives with a mix of fixed and at risk remuneration commensurate with their performance, position and responsibility and to recognise and reward them for their performance against targets set by reference to appropriate bench marks. The directors believe that such structure
- Aligns the interest of executives with their shareholders
- Links rewards to the strategic goals and performance of the Company
- Ensures that remuneration is connective by market standards.
The remuneration committee will meet to assess the performance of every eligible person and take into consideration their objectives and competencies, values and behaviour.
Such assessment shall take place annually in July and the rewards will be dependent upon the financial performance of the Company and conditional upon the achievement of performance targets measured and calculated on investment performance including increase in revenue, earnings per share and quoted price of the shares as at the date of assessment.
Depending on the assessment the Company may pay to the recipient a bonus and/or issue shares or options in lieu of such bonus.
The payment of such bonus is to be entirely at the discretion of the remineration committee, after taking into consideration the contribution of the said employee or executive or Executive member towards the increase in value of the Company over the period of consideration in question, and shall at all be capped at five (5) per cent of the deemed value that is accrued to the Company as a result of such efforts and endeavours of the said person.
