3D Medical raises $4M through oversubscribed placement

3D Medical Limited (ASX: 3DM ) ( 3DM or the Company ) is pleased to announce that it has successfully raised approximately $4 million through a placement of new shares to professional and sophisticated investors.

Wilson HTM acted as lead manager of the placement, which was oversubscribed. Under the placement, which was conducted within 3DM’s maximum existing placement capacity under Listing Rule 7.1, the Company will issue 53,121,066 new shares at $0.075 per share, raising a total of $3,984,080.

The new placement shares are expected to be issued on or around Friday 6 November 2015, and commence trading on ASX on the same day. The new shares will rank equally with all existing shares on issue from the date of allotment.

The placement is the first component of an equity capital raising of approximately $10 million, via a placement, a share purchase plan, which will enable existing shareholders to subscribe on the same terms as the placement, and through the exercise of existing options on issue in 3DM. These capital raising initiatives are undertaken as part of 3DM’s proposed merger with Mach7 Technologies Pte. Ltd. ( Mach7 ) through acquisition of 100% of the issued capital of Mach7. 3DM’s Chairman Dr Nigel Finch said the Company was pleased with the level of interest shown in 3DM by professional and sophisticated investors.

“Our placement was oversubscribed. We are very pleased with the strong support from new and existing investors who have taken up shares in the placement. We see this as a strong endorsement of 3DM’s proposed merger with Mach7 and the expected benefits which will flow to all of our shareholders.
