Dear Sir/Madam,
We refer to our earlier intimations dated September 29, 2025, December 30, 2025 and February 27, 2026, wherein we had informed that Nanomi B.V., the Netherlands, a wholly owned subsidiary of the Company (‘Nanomi’) had entered into a definitive agreement to acquire the entire share capital of VISUfarma B.V., Netherlands (‘VISUfarma’), subject to certain closing conditions.
We would like to inform that further to the completion of customary closing conditions, the acquisition of entire share capital of VISUfarma has been completed by Nanomi, thereby VISUfarma and its wholly owned subsidiaries have become wholly owned subsidiaries of Nanomi effective April 01, 2026.
The details of the acquisition as required under Regulation 30 of the SEBI Listing Regulations read with the applicable SEBI Circulars issued from time to time, were duly disclosed in our earlier intimation dated September 29, 2025.
