Vide our letter dated September 29, 2025, we had informed that Nanomi B.V., the Netherlands, a wholly owned subsidiary of the Company, had entered into a definitive agreement to acquire the entire share capital of VISUfarma B.V., headquartered in Amsterdam, the Netherlands, wherein we had indicated that the transaction would be consummated by the end of calendar year 2025.

We wish to inform you that the proposed transaction is currently in progress and is expected to be completed by February 28, 2026, subject to certain closing conditions.
