In compliance with Regulation 30 read with Schedule III of the Listing Regulations and SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, we are pleased to inform you that today i.e. August 8, 2024, Generic Health Pty Ltd., Australia (‘Generic Health’), wholly owned subsidiary of Lupin Ltd. (‘Company’), has incorporated Lupin NZ Ltd., New Zealand (‘Lupin NZ’), its wholly owned subsidiary. Particulars of Lupin NZ are as under: -

Name of the Holding Company - Generic Health Pty Ltd., Australia (‘Generic Health’)

a)	name of the target entity, details in brief such as size, turnover etc.;	Generic Health is a wholly owned subsidiary of Lupin Ltd. Lupin NZ Ltd., New Zealand (‘Lupin NZ’) was incorporated under Certificate of Incorporation No. NZBN: 9429052261985 dated August 8, 2024, issued by the Registrar of Companies New Zealand under the Companies Act 1993. Lupin NZ was incorporated by Generic Health as its wholly owned subsidiary. Thus, Lupin NZ is wholly owned subsidiary of Lupin Ltd. (‘Company’). As Lupin NZ is yet to commence business, details of its turnover are not applicable.
b)	whether the acquisition would fall within related party transaction(s) and whether the promoter/promoter group/group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at “arms-length”;	Pursuant to Section 2(76) of the Companies Act, 2013 (‘Act’) and Regulation 2(zb) of the Listing Regulations, Lupin NZ is a related party of the Company.
