Subject: Prior Intimation of Board Meeting for Consideration of Fund-Raising Proposal.

Pursuant to Regulation 29 and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, we wish to inform you that a meeting of the Board of Directors of the Company is scheduled to be held on Thursday, August 07, 2025, at the registered office of the Company, inter alia, to consider and transact the following business:

1. To consider and evaluate a proposal for raising funds through the issuance of one or more instruments, including equity shares, warrants convertible into equity shares, or other securities, by way of preferential issue, private placement or any other permissible mode(s), in accordance with the applicable provisions of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and other applicable laws, subject to necessary approvals including approval of the shareholders and other statutory/regulatory authorities, as may be required.

2. To consider convening a General Meeting of the members of the Company to seek their approval for the aforementioned fund-raising proposal.

3. To consider any other matter with the permission of the Chair.

Further, we wish to inform you that in accordance with the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015, as amended, and the Company’s Code of Conduct for Prevention of Insider Trading, the trading window for dealing in securities of the Company has already been closed from July 01, 2025, and will remain closed until 48 hours after the declaration of the unaudited financial results for the quarter ended June 30, 2025, for all Designated Persons, their immediate relatives, and other connected persons covered under the Code.
