The General Meeting of Kruk S.A. of Wrocław

CANDIDATE'S STATEMENT

I hereby consent to being nominated and appointed, as an independent member, to the Supervisory Board of Kruk S.A. of Wrocław, and I further represent that:

1) there are no legal obstacles of any nature that would disqualify me from serving as a member of the Supervisory Board, and in particular no obstacles referred to in Art. 18.1 and Art. 18.2, or Art. 387 of the Polish Commercial Companies Code;

2) I am not, nor do I intend to become, engaged in any business competing with the business of Kruk S.A. of Wrocław, I am not, nor do I intend to become, a partner in any partnership under civil law or any other type of partnership, or a member of a governing body of any company or member of a governing body of any other legal entity competing with Kruk S.A.;

3) I have not been convicted by a final court judgment of any criminal offence that would consist in acting to the detriment of a company, and no proceedings are pending against me for acting to the detriment of a company in which I sat on a governing body;

4) my name is not entered in the Register of Insolvent Debtors maintained pursuant the Polish National Court Register Act of 20 August 1997;

5) I do hold any of the functions or positions referred to in Art. 1–2 of the Polish Act on Restrictions of Business Activities by Public Function Holders of 21 August 1997 (Dz.U. of 2017, item 1393);

6) I meet the independence criteria for a supervisory board member set out in Annex II to the Commission Recommendation of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board (OJ L 05.52.51), as well as the additional requirements laid down in the Best Practice for WSE Listed Companies, constituting an appendix to the Warsaw Stock Exchange Supervisory Board Resolution No. 13/1834/2021 of 29 March 2021.
