Komplett ASA: Grant of share options to primary insiders
Oslo, 14 May 2024: As part of Komplett ASA's long term incentive program set out
in the company's guidelines for remuneration of senior executives, primary
insiders have been granted a total of 3 991 050 share options in Komplett ASA,
equivalent to 2.276 per cent of total shares.
A total of 4 494 767 options for shares in the company have been distributed to
employees, including the options granted to primary insiders. The total number
of options granted corresponds to 2.563 per cent of the outstanding number of
shares.
Each share option gives the right to purchase one share in Komplett ASA.
The strike price of the options was set to NOK 9.20 per share based on the
closing price on 10 May 2024. The strike price for the options will have a
premium of 3 per cent annually until the options are vested. The options will
vest gradually over three years after grant, whereas 20 per cent of the options
will vest after one year, 20 per cent after two years and the remaining 60 per
cent after three years. All options will expire five years after the date of
grant.

· Josefin Dalum, Managing Director NetOnNet: 281 209 options
· Erlend Stefansson, Managing Director Komplett Services: 365 975 options
· Trygve Hillesland, Managing Director Webhallen: 258 059 options
· Markus Solvik, Chief Strategy Officer: 284 484 options
· Kristin H. Torgersen, Chief HR Officer: 272 773 options
