Komplett ASA: Approval of the prospectus prepared for the listing of the consideration shares issued in connection with the combination of Komplett and NetOnNet

Sandefjord, 27 September 2022: Reference is made to the stock exchange

announcements made by Komplett ASA ("Komplett") dated 9 February 2022, 21 March

2022 and 4 April 2022 regarding the combination of NetOnNet AB ("NetOnNet") and

Komplett by way of Komplett acquiring all of the shares in NetOnNet from its

sole shareholder SIBA Invest Aktiebolag ("SIBA Invest") (the "Transaction").

As consideration for the shares in NetOnNet, SIBA Invest received a total of

35,242,424 consideration shares in Komplett (the "Listing Shares"), representing

approximately 32.78% of the shares and votes in Komplett, and NOK 1,500 million

(plus interest) in cash. For the purpose of admitting the Listing Shares to

trading on the Oslo Stock Exchange, Komplett has prepared a prospectus in

accordance with Article 3 item 3 of the EU Prospectus Regulation (Regulation

(EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 and

ancillary regulation, as implemented under Norwegian law (the "Prospectus"). The

Financial Supervisory Authority of Norway (Nw. Finanstilsynet) has today, on 27

September 2022, approved the Prospectus.

The Prospectus will be made available on Komplett's website at

https://www.komplettgroup.com/investor-relations/financial-information/. Printed

copies of the Prospectus may be obtained free of charge at Komplett's registered

office at Østre Kullerød 4, 3241 Sandefjord, Norway.

It is expected that the Listing Shares will commence trading on the Oslo Stock

Exchange on or about 28 September 2022, following the transfer of the Listing

Shares from the temporary ISIN NO0012490020 to the listed ISIN NO0011016040

after the publication of the Prospectus.
