KOMPLETT ASA – MAJOR SHAREHOLDING DISCLOSURE

Reference is made to the stock exchange announcement made by Komplett ASA (the “Company”) dated 9 February 2022, regarding the combination between the Company and NetOnNet AB (the “Transaction”), where it was further announced that upon closing of the transaction SIBA Invest Aktiebolag (“SIBA Invest”) will be issued 35,242,424 consideration shares in the Company.

Today the Company received clearance from competition authorities and as such the main conditions precedent for the Transaction have been fulfilled. Closing of the Transaction is expected to take place during the first half of April 2022, whereby SIBA Invest will receive 35,242,424 newly issued shares in the Company, which will equal 32.78 % of the total issued and outstanding share capital and votes in the Company at the time of closing of the Transaction (based on 107,497,579 shares). Consequently, the 25 % disclosure threshold in the Norwegian Securities Trading Act Section 4 2 has been triggered.
