Komplett ASA: Minutes from extraordinary general meeting

Oslo, 16 March 2022: Komplett ASA (the "Company" or "Komplett"). Reference is

made to the stock exchange announcement on 23 February 2022, where the Company

called for an extraordinary general meeting in Komplett for the purposes of

resolving certain matters in connection with its contemplated acquisition of

NetOnNet AB (as announced on 9 February 2022) (the "Transaction").

The extraordinary general meeting of Komplett was held today, on 16 March 2022,

at 11:00 (CET) at the offices of Advokatfirmaet Thommessen AS, Ruseløkkveien 38,

13th floor, 0251 Oslo, Norway.

As follows from the attached minutes, all resolutions proposed by the board of

directors (in line with the nomination committee's recommendations) were

approved. This included (i) issuing 35,242,424 new shares in Komplett to SIBA

Invest Aktiebolag at closing of the Transaction, (ii) granting the board of

directors an authorization to issue new shares in connection with a contemplated

equity capital transaction to finance the cash consideration of the acquisition

of NetOnNet AB, and (iii) making certain changes to the composition of the board

of directors and nomination committee, effective from and subject only to

completion of the Transaction, in order to provide SIBA Invest Aktiebolag with

representation in light of its post-Transaction ownership interest in Komplett.

Completion of the Transaction is still subject to customary closing conditions,

including required clearances from competition authorities in Norway and Sweden.
