Dear Sir / Madam,

Pursuant to Regulation 30 and other applicable provisions of the LODR Regulations, this is to inform that the Board of Directors of the Company at its meeting held today i.e., May 24, 2024, has interalia:

• a. subject to the approval of the members, appointed Mr. Chengalath Jayaram (DIN: 00012214) as an Additional Director (Non-Executive, Independent), with effect from May 24, 2024, for a period of 5 (five) consecutive years i.e., up to May 23, 2029 (both days inclusive), not liable to retire by rotation;

In terms of NSE’s Circular No. NSE/CML/2018/24 dated June 20, 2018, and BSE’s Circular No. LIST/COMP/14/2018-19 dated June 20, 2018, it is hereby affirmed that Mr. Chengalath Jayaram is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority.

• b. appointed Mr. Anish Kumar as the Chief Risk Officer (Senior Management Personnel) of the Company, with effect from May 24, 2024;

• c. approved the change in role and designation of Mr. Praveen Shankaran (Senior Management Personnel), as the Chief Operating Officer – Domestic Fund Services, with effect from May 24, 2024.

The Board meeting commenced at 03:00 p.m. and concluded at 06:00 p.m.

Mr. Jayaram headed the Private Banking business, Alternative Investments business, including Private Equity funds and Real Estate funds and international operations for Kotak Group till his retirement, as Joint Managing Director of the Bank, in April 2016. He was with the Kotak Group for 26 years and was instrumental in building a number of new businesses for the Kotak Group. Prior to joining the Kotak Group, he was with Overseas Sanmar Financial Limited.
