Keyware: regulated information with respect to the Law of 2 May 2007

Brussels, Belgium – 14 June 2016 – Keyware (EURONEXT Brussels: KEYW), a leading supplier of electronic-payment solutions, loyalty systems, identity applications and related transaction management, discloses the following information as foreseen by article 15§1 and 18§1 of the Law of 2 May 2007 and by the Royal Decree of 14 February 2008 on the disclosure of significant participations in listed enterprises:

Each Warrant gives right to one share upon exercising.

The underlying reason for the change is twofold.

Firstly, a capital decrease wiping away losses took place on 27 May 2016, as a result of which the capital has been reduced to 7,811,093.58 EUR. The capital decrease did not trigger the destruction of any shares. Only the par value of the shares has been adapted.

Afterwards a capital increase took place on 13 June 2016 by the exercise of 125,000 Warrants, as a result of which capital has been increased to 7,857,343.58 EUR and 125,000 shares have been issued.

As per the legally foreseen thresholds as per those contained in the articles of association (article 8 of the articles of association of the company Keyware Technologies NV), a notification is required in case an acquisition of voting rights reaches or exceeds a 5% threshold or a multiple thereof (increments of 5%).
