Keyware Technologies NV (EURONEXT Brussels: KEYW) ends cooperation with CEO Big Friend NV (Stéphane Vandervelde)

Brussels (Belgium) – Following the press release of 25 March 2021, the board of directors of Keyware Technologies NV has decided on 14 April 2021 to permanently terminate the long-standing cooperation with its CEO Big Friend NV (Stéphane Vandervelde). Big Friend NV (Stéphane Vandervelde) will resign all his mandates as (managing) director in all Keyware companies with immediate effect and will also step down from his role as CEO. The arrangement does not have any negative financial consequences for Keyware Technologies NV and has been concluded settling all accounts. The earlier agreement dated 25 March 2021 providing for repayment of certain amountsto Keyware Technologies NV remains in full force and effect. The decision to end the cooperation was made by mutual agreement between the two parties concerned in the interest of the company and its stakeholders. This decision helps to restore the principles of corporate governance within Keyware as a listed company.

In order to ensure the continuity of the business, Powergraph BV (Guido Van Der Schueren), the current chairman of the board of directors of the company, has been appointed as CEO ad interim. Big Friend NV (Stéphane Vandervelde) has committed itself to steer the transition in the right direction and will, pending the arrival of a new CEO, support the CEO ad interim where necessary.
