Subject: Intimation under regulation 30 of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirement) Regulations, 2015 (“Listing Regulations”) for the acquisition of Shares of subsidiary Company.

Dear Sir/ Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"), we hereby inform you that the Company has been allotted additional 24,00,000 (TwentyFour Lacs) equity shares of Rs. 10 each at par, aggregating to Rs. 2,40,00,000 (Rupees Two Crores Forty Lacs only) by way of subscription to the Rights Issue of “ARTISAN WATCH PRODUCTS PRIVATE LIMITED”.

The details, as required under Regulation 30 read with Schedule Ill to the Securities and Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 in respect of matter stated above are provided hereunder:

Mr. Yashovardhan Saboo, promoter of the Company also holds a 20% shareholding in Artisan Watch Products Private Limited. The transaction is at arm’s length basis.
