Acquisition ofFor-Net S.A._#160;

The ManagementBoard of Aforti Holding S.A. with its registered office in Warsaw (the_quot;Issuer_quot;), in reference to current report ESPI 11/2022 dated 28 April2022 regarding the conclusion of an Investment Agreement withshareholders of For-Net S.A. with its registered office in Krakow,informs of the fulfilment of further conditions of the InvestmentAgreement, i.e. the holding of an Extraordinary General Meeting ofAforti Collections S.A. on 25 May 2022. (the _quot;Company_quot;) where aresolution was adopted on increasing the share capital by way of issuing2,107,029 J-series ordinary bearer shares with the exclusion ofpre-emptive rights of the existing shareholders in full and ondematerialisation of the Company's J-series shares.

The above issuewas subscribed for by all the existing shareholders of For-Net S.A. inexchange for a contribution in kind in the form of 100% of For-Net S.A.shares with a value of over PLN 11 million.

Ownership of theshares in For-Net S.A. is transferred to Aforti Collections S.A. at themoment the Company is entered in the shareholder register as theauthorised entity.

For-Net S.A. hasan established position on the Polish market and specialises inproviding services to securitisation funds and entities from thefinancial sector._#160;The acquisition of an entity from the debtcollection industry by a subsidiary of the Issuer is related to the nextstage of activities aimed at further implementation of the strategy ofthe Issuer's Capital Group.
