Zmiana struktury organizacyjnej w Grupie Kapitałowej Aforti

Zarząd Aforti Holding S.A. z siedzibą w Warszawie (dalej: "Emitent"), w nawiązaniu do raportu bieżącego ESPI 44/2020 z dnia 4 sierpnia 2020 roku, raportu bieżącego ESPI 31/2020 z dnia 15 czerwca 2020 roku oraz raportu bieżącego ESPI 22/2020 z dnia 15 maja 2020 roku niniejszym informuje, że w dniu 29 września 2020 roku oraz w dniu dzisiejszym doszło do zmiany organizacyjnej w Grupie Kapitałowej Emitenta polegającej na zmianie właścicielskiej podmiotu zależnego tj. Aforti Distribution Romania S.A. (dalej jako "ADR").

W dniu 29 września 2020 roku spółka zależna od Emitenta, Aforti Finance kupiła od Aforti Exchange S.A. 1175 akcji ADR (stanowiących 68,87% wszystkich akcji spółki) po cenie nominalnej 2295 RON za jedną akcję oraz kupiła od Aforti Holding S.A. 530 akcji ADR (stanowiących 31,07% wszystkich akcji spółki) po cenie nominalnej 2295 RON za jedną akcję. Po transakcji Aforti Exchange S.A. nie jest już akcjonariuszem ADR, natomiast Emitent pozostaje w posiadaniu jednej akcji ADR.

W dniu 30 września 2020 roku spółka zależna, Aforti Factor Romania IFN S.A. kupiła od Aforti Finance S.A. 1705 akcji ADR (stanowiących 99,96% wszystkich akcji spółki) po cenie nominalnej 2295 RON za jedną akcje.

Po transakcji Aforti Finance S.A. nie jest już bezpośrednim akcjonariuszem ADR, natomiast Emitent pozostaje w posiadaniu jednej akcji ADR (stanowiącą 0,04% wszystkich akcji spółki).

Niniejsze zmiany mają na celu uporządkowanie struktury organizacyjnej grupy kapitałowej Emitenta na terytorium Rumunii, umożliwiając efektywniejszą realizacje strategii Grupy Kapitałowej Emitenta.

Change of the organizational structure in the Aforti Capital Group

The Management Board of Aforti Holding S.A. with its registered office in Warsaw (hereinafter: "Issuer"), with reference to the current report ESPI 44/2020 of 4 August 2020, current report ESPI 31/2020 of 15 June 2020 and current report ESPI 22/2020 of 15 May 2020, hereby informs that on 29 September 2020 and today there was an organizational change in the Issuer's Capital Group consisting in the change of ownership of a subsidiary, i.e. Aforti Distribution Romania S.A. (hereinafter referred to as "ADR").

On 29 September 2020 the Issuer's subsidiary, Aforti Finance purchased from Aforti Exchange S.A. 1175 shares of ADR (constituting 68.87% of all shares of the company) at the nominal price of RON 2295 per share and purchased from Aforti Holding S.A. 530 ADR shares (constituting 31.07% of all shares of the company) at the nominal price of 2295 RON per share. After the transaction, Aforti Exchange S.A. is no longer a shareholder of ADR, while the Issuer remains in possession of one share of ADR.

On 30 September 2020 the subsidiary, Aforti Factor Romania IFN S.A. purchased from Aforti Finance S.A. 1705 ADR shares (constituting 99.96% of all company's shares) at the nominal price of RON 2295 per share. After the transaction Aforti Finance S.A. is no longer a direct shareholder of ADR, while the Issuer remains in possession of one share of ADR (constituting 0.04% of all shares of the company).

These changes are aimed at organizational structure of the Issuer's capital group on the territory of Romania, enabling more effective implementation of the Issuer's Capital Group strategy.
