Amendment of the Company's Articles of Association

Pursuant to the notice published on the 10th of October 2017, Jerónimo Martins SGPS, S.A. (the "Company") hereby informs that, under the terms set forth in Law no. 15/2017, of May 3rd as complemented by Decree‐ Law no. 123/2017, of 25 of September, and pursuant to the competence given to it by such Decree-Law, the Board of Directors resolved on its meeting held on the 24th of October 2017, to approve the amendment of the wording of article 6, no. 1, of the Company´s articles of association, which shall read as follows:

«ARTICLE SIX

One – The shares are registered shares, titled or dematerialized."
