SUBSCRIPTION FORM JADRAN Inc.

The company JADRAN, a joint-stock company for hotel management and tourism, Bana Jelačića 16, Crikvenica (City of Crikvenica), registered in the Court Register of the Commercial Court in Rijeka under the registration number of the subject of registration (MBS): 040000817, OIB: 56994999963 (" Issuer "), published on 3 February 2026, an invitation to subscribe for the Issuer's commercial papers ("Invitation to Subscribe"), security code JDRN-M-645A and ISIN: HRJDRNM645A1, in a nominal amount of up to EUR 10,000,000.00 and maturing 273 days from the date of issue ("Commercial Papers").

The Issuer published an Information Memorandum dated 3 February 2026 ("Information Memorandum") on its website.

Immediately after the issue of the Commercial Papers, the Issuer undertakes to submit an application for listing of the Commercial Papers on the Official Market of the Zagreb Stock Exchange dd ( the "Zagreb Stock Exchange").

Capitalized terms in this subscription form have the meaning as defined in the Information Memorandum, or the Invitation to Subscribe, unless otherwise stated herein.

By signing this subscription form, the subscriber accepts the Information Memorandum and the Invitation to Subscribe and makes a binding offer to subscribe for the Commercial Papers in accordance with the details set out below.

By this Subscription, which becomes binding and irrevocable for the Subscriber on the date set forth below, the Subscriber:

• declares that he is familiar with the terms and content of the Information Memorandum, the Invitation to Subscribe, as well as all other documents of the Issuer published on the websites of the Issuer and the Zagreb Stock Exchange, and that he fully understands and accepts them;

• accepts to become the holder of the allocated Commercial Papers after they are registered in his securities account of the Registrar at the CDCC;
