SUBJECT: Information on the considered commercial notes issuance
JADRAN d.d. having its seat in Crikvenica, Bana Jelačića 16, PIN: 56994999963 (hereinafter: Company), announces that the Company is considering a possibility of issuance of money market instruments (commercial notes) on the domestic market in the total nominal amount of up to EUR 10,000,000, that would be offered exclusively to qualified investors and listed on the regulated market operated by the Zagreb Stock Exchange d.d. (hereinafter: Transaction).
Proceeds from the considered Transaction would be used to improve the Company's liquidity, as the Company expects, based on conducted analyses, a liquidity shortage in the upcoming months, and also for other corporate purposes of the Company. It is expected that the considered Transaction will be conducted in early February 2026. For that purpose, the Company has engaged Privredna banka Zagreb d.d., Radnička cesta 50, Zagreb, as the issue agent.
On 23rd January 2026 the Company has published on its website https://www.jadrancrikvenica.hr/datastore/filestore/71/Prezentacija-za-ulagatelje-23.01.2026.pdf an Investor Presentation which includes general information on the Company and indicative terms of the considered Transaction. The Company intends to additionally present the aforementioned Investor Presentation to selected potential investors in the commercial notes.
The Company shall timely inform the public on the possible execution of the considered Transaction and on the terms of such Transaction.
