DISCLOSURE REGARDING PURCHASE OF TREASURY SHARES
S. Ilario d'Enza (RE), 19 October 2015 – Interpump Group S.p.A., pursuant to the authorisation to purchase treasury shares deliberated by its Shareholders Meeting of 30 April 2015 (previously subject to disclosure for purposes of Art. 144 bis of CONSOB Regulation 11971/99 and of Art. 132 of Italian Legislative Decree no. 58/98), hereby reports that in the period from 19/10/2015 to 23/10/2015 inclusive, it purchased a total of 90,000 ordinary shares (equal to 0.0827% of its Share Capital) at the weighted average unit price of Euro 12.2681 (net of commissions), for a total counter-value of Euro 1,104,132.60.

As of today, the Company holds a total of 2,387,272 treasury shares, equal to 2.1926% of the Share Capital.
As required by Art. 132 of Italian Legislative Decree no. 58/98 and by Art. 144 bis of CONSOB Regulation 11971/99, purchases were conducted on regulated markets according to the methods specified in the organisation and management rules of such markets, which prohibit direct linking of offers to buy with certain offers to sell.
With reference to the provisions of EC Regulation no. 2273/2003, the Company also reports that daily purchase do not exceed 25% of the average daily trading volume of Interpump Group shares on the 20 trading days preceding the date of purchase.
The Shareholders Meeting of 30 April 2015 authorised the purchase of 9,000,000 treasury shares, which, added to the 2,139,766 treasury shares already held by Interpump Group at the date of the Shareholders meeting, constitute 10.2313% of the share capital. The authorisation expires on 30 October 2016.
