Conclusa positivamente la cessione parziale di azioni Interpump Group S.p.A. da parte di Gruppo IPG Holding S.p.A.

Sant'Ilario d'Enza (RE) 21 Novembre 2022 - Interpump Group S.p.A. (di seguito anche "Interpump" o la "Società"), facendo seguito al comunicato stampa già pubblicato, comunica di essere stata informata da parte di Gruppo IPG Holding S.p.A. della positiva conclusione della cessione di 455.000 azioni Interpump per un controvalore di 19.428.500,00 euro, al lordo di oneri e commissioni.

L'operazione si è perfezionata ad un prezzo di 42,70 euro per azione e verrà regolata mediante consegna dei titoli e pagamento del corrispettivo in data 24 novembre 2022.

La cessione delle azioni è avvenuta mediante una procedura di Acelerated Bookbuilding riservato ad investitori qualificati in Italia ed all'estero, con l'esclusione di qualsiasi paese o giurisdizione nei quali l'offerta o la vendita delle azioni oggetto di offerta sono vietate ai sensi di legge o in assenza di esenzioni.

Gruppo IPG Holding S.p.A. è stata affiancata da Equita SIM S.p.A. in qualità di Sole Booknumer.

Si ricorda che la cessione delle suddette azioni è stata effettuata al fine di assolvere all'impegno di cui al comunicato stampa della Società del 15 febbraio 2022 che riguardava l'esenzione dall'obbligo solidale di promuovere un'offerta pubblica di acquisto sulle azioni della Società di cui all'art. 49, comma 1, lett. e) del Regolamento Emittenti.

A completamento dell'operazione: (a) Gruppo IPG Holding S.p.A. è titolare di 25.951.799 azioni Interpump, rappresentative del 23,835% del capitale della Società e (b) il dottor Fulvio Montipò è titolare di 1.255.233 azioni Interpump, rappresentative dell'1,153% del capitale della Società; pertanto la porzione del capitale

sociale di Interpump complessivamente detenuta da Gruppo IPG Holding S.p.A. e dal dottor Fulvio Montipò è del 24,988%.

Gruppo IPG Holding S.p.A. successfully completed the partial sale of Interpump Group S.p.A. shares

Sant'Ilario d'Enza (RE), November 21st , 2022 - Following the press release already published, Interpump Group S.p.A. (hereinafter also referred to as "Interpump" or the "Company") announces that it has been informed by Gruppo IPG Holding S.p.A. of the successful conclusion of the sale of 455,000 Interpump shares, corresponding to euro 19,428,500.00, gross of charges and commissions.

The transaction was completed at a price of 42.70 euros per share and will be settled by delivery of the securities and payment of the consideration on November 24, 2022.

The sale of the shares has been realized through an accelerated bookbuild procedure dedicated to qualified investors in Italy and abroad, except for any country or jurisdiction in which the offer or the sale of the shares would be prohibited by applicable law.

Gruppo IPG Holding S.p.A. was assisted by Equita SIM S.p.A. as Sole Bookrunner.

It should be noted that the sale of the shares was carried out in order to fulfil the commitment set forth in the Company's press release of February 15th , 2022 concerning the exemption from the joint and several obligation to promote a takeover bid on the Company's shares pursuant to Article 49 para. 1, letter e) of the Issuers' Regulations.

Upon completion of this transaction: (a) Gruppo IPG Holding S.p.A. holds 25,951,799 Interpump shares, representing 23.835% of the Company's capital and (b) Dr. Fulvio Montipò holds 1,255,233 Interpump shares, representing 1.153% of the Company's share capital; therefore, the combined interest in Interpump's share capital held by Gruppo IPG Holding S.p.A. and by Dr. Fulvio Montipò amount to 24.988%.
