INTERPUMP ACQUIRES DZ TRASMISSIONI, REINFORCING THE POWER TRANSMISSION BUSINESS AREA

Sant'Ilario d'Enza (RE), 9 november 2020 – Interpump Group announces the signing of a binding agreement for the acquisition of DZ Trasmissioni Srl, a manufacturer of right-angle gear drives, headquartered in Zola Predosa near Bologna, Italy.

Thanks to a complete product range and the ability to design tailor-made solutions, DZ Trasmissioni's products can provide right-angle gear drives up to 3,000 rpm and a 15 kW power.

In FY2019 the company registered sales of 5.5 million euro and achieved an adjusted EBITDA margin above 25%.

The transaction, whose closing is expected to take place no later than January 2021 at the end of a company reorganization, envisions the acquisition of a 100% stake. The price will be calculated considering an enterprise value of 5.8 million euro, adjusted by the net financial position at the end of the year, and it will be paid with 75,000 Interpump Group treasury shares, at the official price of the day before the closing, and a cash balance.
