PROGETTO DI FUSIONE PER INCORPORAZIONE DI RICCI ENGINEERING S.R.L. IN INTERPUMP GROUP S.P.A.
Sant'Ilario d'Enza (RE), 1 ottobre 2018 – Si comunica che è stata messa a disposizione del pubblico la documentazione relativa al Progetto di fusione per incorporazione di Ricci Engineering S.r.l. – società controllata al 100% - in Interpump Group S.p.A.
In particolare, ai sensi del settimo comma dell'art. 70 del Regolamento Emittenti, il Progetto di fusione nonché le situazioni patrimoniali al 30 giugno 2018 di Interpump Group S.p.A. e Ricci Engineering S.r.l. sono disponibili presso la sede della Società, sul sito internet della Società www.interpumpgroup.it sezione Governance/Altre informazioni, presso Borsa Italiana S.p.A. e sul meccanismo di stoccaggio autorizzato "eMarket Storage" consultabile all'indirizzo .
Il Progetto di Fusione è stato altresì depositato presso il Registro delle Imprese di Reggio Emilia e di Roma.
Ai sensi dell'articolo 2501 septies, primo comma punto 2), del Codice Civile, i bilanci degli ultimi tre esercizi precedenti di Interpump Group S.p.A e Ricci Engineering S.r.l. sono disponibili presso la sede della Società in via Enrico Fermi 25, Sant'Ilario d'Enza (RE).
La fusione sarà sottoposta all'approvazione degli organi a ciò delegati delle società partecipanti alla fusione ai sensi dell'articolo 2505, secondo comma, del Codice Civile, decorsi i termini di legge.
PLAN FOR MERGER BY ABSORPTION OF RICCI ENGINEERING S.R.L. INTO INTERPUMP GROUP S.P.A.
Sant'Ilario d'Enza, 1 October 2018 – Documentation regarding the Plan for merger by absorption of Ricci Engineering S.r.l. – a wholly-owned subsidiary – into Interpump Group S.p.A. is now available to the public. Specifically, according to Art. 70 section 7 of the Issuers' Regulation, the Merger Plan and the statements of assets and liabilities of Interpump Group S.p.A. and Ricci Engineering S.r.l. at 30 June 2018 are available at the Company's registered office, on the Company's website www.interpumpgroup.it (in the Governance/Other information section), at Borsa Italiana S.p.A., and on the "eMarket Storage" platform at . The Merger Plan has also been filed with the Register of Companies in both Reggio Emilia and Roma.
Pursuant to Art. 2501 septies, section one point 2) of the Italian Civil Code, the financial statements of Interpump Group S.p.A. and Ricci Engineering S.r.l. for the previous three years are available at the Company's registered office at via Enrico Fermi 25, Sant'Ilario d'Enza (RE), Italy.
Pursuant to Art. 2505 section two of the Italian Civil Code, the merger will be subject to approval by the designated Bodies of the companies participating in the merger after the expiration of legal time limits.
