APPROVAZIONE DELLA FUSIONE PER INCORPORAZIONE DI RICCI ENGINEERING S.r.l. IN INTERPUMP GROUP S.p.A.
APPROVAL OF THE MERGER BY ABSORPTION OF RICCI ENGINEERING S.r.l. INTO INTERPUMP GROUP S.p.A.
Sant'Ilario d'Enza, 7 Novembre 2018 – Facendo seguito al comunicato stampa del 1 ottobre 2018, si rende noto che in data odierna il Consiglio di amministrazione di Interpump Group S.p.A. ha deliberato la fusione per incorporazione della società controllata ed interamente posseduta Ricci Engineering S.r.l., dopo che analoga determinazione è stata assunta dall'organo competente della società incorporanda. L'operazione è stata compiutamente descritta nel progetto di fusione già depositato e comunicato nei termini di legge. Il verbale della deliberazione del Consiglio di Amministrazione assunta in data odierna e risultante da atto pubblico sarà a disposizione del pubblico nei modi e nei termini previsti dalla legge.

Sant'Ilario d'Enza, 7 November 2018 – Further to the press release of 1 October 2018, the Board of Directors of Interpump Group S.p.A. approved today the merger by absorption of the wholly-owned subsidiary Ricci Engineering S.r.l., following the adoption of a similar resolution by the corporate bodies of the company being absorbed. This operation is fully described in the merger plan already filed and communicated within the time period prescribed by law. The minutes of the resolution adopted today by the Board of Directors and sanctioned by a public deed will be made available to the public according to the procedures and time limits set forth by law.
