Plan for merger by incorporation of Bertoli S.r.l. into Interpump Group S.p.A.

Sant'Ilario d'Enza 15 September 2015 – Documentation regarding the Plan for merger by incorporation of Bertoli S.r.l. - wholly-owned subsidiary - into Interpump Group S.p.A. is now available to the public.

Specifically, for purposes of Art. 70 section 7 of the Rules for Issuers, the Merger Plan and the statements of assets and liabilities of Interpump Group S.p.A. and Bertoli S.r.l. at 30 June 2015 are available at the Company's registered office, on the Company's website www.interpumpgroup.com in the Goverance/Other information section, at Borsa Italiana S.p.A., and on the "eMarket Storage" platform at .

The Merger Plan has also been filed with the Register of Companies of Reggio Emilia and Parma.

For purposes of Art. 2501 septies, section one point 2) of the Italian Civil Code, the financial statements of Interpump Group S.p.A. and Bertoli S.r.l. for the previous three years are available at the Company's registered office at via Enrico Fermi 25, Sant'Ilario d'Enza (RE), Italy.

For purposes of Art. 2505 section two of the Italian Civil Code, the merger will be subject to approval by the deputated Bodies of the companies participating in the merger after the expiration of legal time limits.
