INNOVATEC FINANCES GROWTH

THE BOARD OF DIRECTORS RESOLVES TO ISSUE A NON-CONVERTIBLE BOND IN THE AMOUNT OF EURO 8 MILLION

Milan, 11 November 2022 - The Board of Directors of Innovatec S.p.A. (BIT: INC, ISIN: IT0005412298), listed on the Euronext Growth Milan market, ("Company", "Issuer") – resolved today to issue, in the context of a broader structured financing transaction in the form of a so-called "basket bond", a non-convertible bond, pursuant to article 2410 of the Italian Civil Code, for a nominal amount of €8 million and a duration of 6 years, which will be underwritten by a securitisation vehicle, set up pursuant to Law No. 130 of 30 April 1999, which in turn will be financed through the issue of asset-backed securities addressed to major qualified investors.

Through this instrument, the Company will have the opportunity to raise financial resources with a long-term time horizon, with competitive economic conditions to support investments and initiatives for the Company's growth.

Further information relating to the finalisation of the aforesaid Bond and the related subscription agreement, will be disclosed to the market in accordance with applicable regulations and as soon as available.
