Reorganizing the structure of the Innofactor group

A number of companies of the Innofactor group today made a decision on
reorganization in which all the business operations of the current Innofactor
Software Oy, Innofactor Visual Management Oy and Innofactor Customer Solutions
Oy will be transferred to Innofactor Documenta Oy on May 1, 2011. Innofactor
Documenta Oy also agreed on changing its name to Innofactor Software Oy. After
the reorganization, the business operations of the Innofactor group are
centralized into one company, Innofactor Software Oy (current Innofactor
Documenta Oy).

The purpose of the reorganization is to change the company structure of the
Innofactor group to better suit the group's strategy and operative functions.
Another aim of the reorganization is to save costs in general management,
financial management and auditing. The Innofactor group's goal is to try to
maintain a company structure in which there is the parent company and, under it
in each country, only one company with business operations.

In acquisitions, all employees are transferred to the new companies as old
employees and the arrangement will have no negative impacts related to the
employees or customer relationships.

In connection with the reorganization, the name of the current Innofactor
Software Oy will change to Innofactor SW Oy, Innofactor Visual Management Oy to
Innofactor VM Oy, and Innofactor Customer Solutions Oy to Innofactor CS Oy. The
old names may be used as Innofactor Software Oy's parallel trade names, if
necessary.

After the reorganization, the Innofactor group will consist of the parent
company Innofactor Plc, which only has one subsidiary that has business
operations, Innofactor Software Oy (current Innofactor Documenta Oy). The
group's other companies, which have no business operations - Innofactor SW Oy,
Innofactor VM Oy, Innofactor CS Oy, Venenum Oy, and Oy Soloplus Ab - are
planned to be possibly dissolved later.
