Re: Board meeting

This has further reference to our letter dated March 25, 2013, regarding the captioned subject. The Board, at today's meeting, transacted the following items of business:

Financial Results and Dividend

1. Took on record the audited financial results of Infosys Limited as per Indian GAAP for the quarter and year ended March 31, 2013.
2. Took on record the audited consolidated financial results of Infosys Limited and its subsidiaries, as per Indian GAAP for the year ended March 31, 2013.
3. Took on record the consolidated financial results of the company and its subsidiaries as per IFRS for the quarter and year ended March 31, 2013.
4. The Board of Directors recommended a final dividend of ₹ 27/- per share subject to approval of shareholders in the ensuing Annual General Meeting.
5. The date of payment of final dividend is Monday, June 17, 2013, if approved by shareholders in the ensuing Annual General Meeting.

Annual General Meeting and Book Closure

The 32nd Annual General Meeting of the Members of the Company will be held on Saturday, June 15, 2013. The Register of Members and Share Transfer Books will remain closed from June 1, 2013 to June 15, 2013 (both days inclusive).
