Sub: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirements) – Regulations, 2015 Changes in Directors

We wish to inform you that Mr. Harjiv Singh, Non-Executive Independent Director of the Company is completing his second term as Independent Director of the Company on May 23, 2023.

Accordingly, he shall cease to be a member of the Board w.e.f. closing hours of May 23, 2023.

Further, pursuant to regulation 30 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015, the Board of Directors of the Company has, on the recommendation of the Nomination and Remuneration Committee, appointed CA Sushil Kumar Dalmia as an as Additional and Independent Director of the Company for a first term of 5 consecutive years with effect from May 24, 2023 till May 23, 2028 subject to the approval of the members in the forthcoming AGM. He has also been inducted as a member of the Audit Committee and Nomination & Remuneration Committee with effect from May 24, 2023.

Mr. Dalmia is not debarred from holding office of a Director by virtue of any SEBI Order or any other such authority.

The details required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI’s Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 is enclosed as Annexure.
