Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we hereby inform you that Board of Directors vide circular resolution passed on May 31, 2021 had approved appointment of Mr. Raj Kumar Agrawal (DIN-00177578) as Additional and Independent Director of the Company for a consecutive term of 5 years with effect from June 15, 2021 till June 14, 2026 subject to the approval of the members in the forthcoming AGM. He has also been inducted as a member of the Audit Committee with effect from June 15, 2021.

Mr. Agrawal has done B.Com (Hons.) from Shri Ram College of Commerce and Chartered Accountancy from the Institute of Chartered Accountants of India. He had been associated with SR Batliboi & Co. for more than 43 years in various capacities and retired as a senior partner of the firm on June 30, 2019. He has experience of providing accounting, advisory and other services to companies in various industry sectors. He has served the Accounting Standards Board and Audit & Assurance Standards Board of the Institute of Chartered Accountants of India.

Mr. Agrawal is not related to any of the Directors of the Company. Mr. Agrawal is not debarred from holding office of a Director by virtue of any SEBI Order or any other such authority.
