Dear Shareholder.
We announced to the ASX on 10 July that we are extending the closure date of our 2009 Shareholder Share Purchase Plan (Plan) from Tuesday 14th July to Friday 7th August.
The Board is concerned that recent announcements may have had an adverse effect on the current share price which is below the Plan price of 3 cents per share.
We have agreed to extend the closing date of the Plan to enable Shareholders adequate time to review the recent announcements and also to consider the potential of our offer which we consider to be an extremely attractive offer to Shareholders. As indicated in the covering letter to the offer document all resident Australian Directors will be taking up their full entitlement under the offer.
To accept our offer please complete the application form forwarded to you with the offer document on 18 June. If you have misplaced that form please contact Computershare Immuron Information Line on 1300 514 329 to obtain a replacement application form.
You may not have seen the announcement to the ASX in respect of the results of the Extraordinary General Meeting of Shareholders held on Thursday 9 July, at which the shareholders present voted unanimously to approve all resolutions put to the meeting. The shareholders that voted by proxy also provided overwhelming support for all of the resolutions. In respect of the major resolution put to the meeting, being the approval of the issue of shares to Hadasit Medical Research Services & Development Limited, the proxy vote was 99.72% in favour of the resolution.
The Directors are very confident that the ongoing relationship with Hadasit will be very beneficial to the Company and may significantly increase the value of your investment in Immuron Limited In the long term.
During the course of the meeting the shareholders present had the opportunity to hear and raise questions with Professor Yaron Ilan who joined the meeting via a telephone link from Jerusalem.
During the course of the meeting the main points expressed by both Professor Colin Chapman and Professor llan were as follows:
- Hadassah Medical Centre is a globally recognised health care provider in Jerusalem with ø recognised FDA status for clinical trials. It operates under GCP (Good Clinical Practice) regulated systems. Its work is often acceptable to the USFDA. It carries out the majority of clinical research in Israel.
- $\bullet$ Hadassah Medical Centre is very supportive of the joining of technologies and efforts between its people and Immuron - they provide an unusual synergy. Immuron sees the joining of the efforts as exciting for access to new technology but also access streamlined, internationally recognised excellence in clinical trial systems.
- Professor Colin Chapman indicated that the Immuron Board believes that the Immuron antibody $\bullet$ technology enables the Hadassah Immunotherapy technology to be commercialised into very large markets for important disease targets such as Diabetes and liver cancer - bringing both parties a mutually dependant upside.
- $\bullet$ Animal work directed at Diabetes type 2 and Fatty Liver using Immuron preparations developed for Hadassah's technology have already been trialled and repeated in animals against Diabetes type 2 and Fatty liver, with consistently positive results. These results will be reported at the US Liver Society Meeting later in the year. More recently, work using the combination of technologies platform technology targeting a second indication, treatment of Hepatocellular Carcinoma (Liver cancer), has initially shown good results . This work is currently being repeated. At least 3 pilot human clinical trials will be carried out this year on Immuron/Hadassah products. As the indications are common with few if any competing treatments, recruiting is expected to be fast with completion of the first trial within a 4 to 6 month period.
- $\bullet$ Professor Colin Chapman also indicated that a major strength of the alliance and the technologies is the ability to use the low side-effect profile of colostrum to enable both rapid trialling in humans within Hadassah and rapid progress to commercialisation.
- $\bullet$ Products developed from our R & D activities, dependant on the strength of the results from the clinical trials, may either be classified as a medical food or a pharmaceutical product.
The revised key dates of the Plan are:
- Closing Date; 5.00pm (Melbourne time) on Friday 7 August 2009 $\bullet$

- $\bullet$ Despatch of Confirmation Statements Date; Friday 14 August 2009
