CEO Remuneration Terms

Melbourne, Australia - Anadis Ltd. (ASX:ANX) a research driven biotechnology company announces the confirmation of Dr Zeil Rosenberg as full time CEO of the Company. Since May of this year Dr Rosenberg has been contracted as CEO of Anadis through the consulting firm BioVance Medical LLC. Dr Rosenberg has now entered into an Employment agreement with the Company in the position of Chief Executive Officer and Managing Director.

Dr Rosenberg’s appointment as CEO in May 2007, had been initiated by the Anadis Board, to bring greater commercial expertise to the emerging opportunities for Anadis’s technologies, particularly in the increasingly important areas of influenza, bio-defence programs, nosocomial disease (hospital acquired infections) and gastrointestinal disease such as inflammatory bowel disease (IBD) and mucositis.

Additionally Anadis has appointed Dr Oren Fuerst, also originally contracted as a consultant through BioVance LLC, as Vice President of Global Business Development.

Since Dr Rosenberg has headed the company, significant events have included:

• The signing of a Heads of Agreement with SPC Ardmona Ltd for the development of Functional Foods.

• Winning a $480,000 Federal Government Grant to fund development of the Anadis HydroGel program (project “Ectoplasm”)

• Expansion of the clinical program for Inflammatory Bowel Disease to Israel into the Tel Aviv Sourasky Medical Centre.

• Signing of a $5m “Standby Subscription Agreement” with Fortrend

• Signing of a Heads of Agreement with Nasdaq listed firm ImmuCell to cross license technologies

• Planned expansion of the Travelan program to cater for military needs.

• Establishment of a program to utilize the Anadis technology platform for the treatment and reduction of chemo and radio therapy related mucositis in Cancer patients

• Most recently, the signing of a Joint Venture with the Haddasit Medical Center in Jerusalem to develop therapies for Cancer, Inflammatory Disease and Infectious Disease. This JV will be headed up by the new US Vice President of Global Business Development Dr Oren Fuerst.

Dr. Rosenberg is a recognized physician-leader and business executive with over 20 years of achievement in the global healthcare industry, with experience including 8 years at Becton Dickinson & Co. as Worldwide Business Leader and Medical Director for Immunization. Emergency Preparedness at the American College of Preventive Medicine and is on the faculty of Columbia University’s Mailman School of Public Health.

CEO Remuneration/Incentive

The terms of Dr Rosenberg’s employment agreement provides for a commencing annual salary of $246,000 all inclusive, with reviews annually and linked to progress milestones.

In addition, the Directors intend to grant Dr Rosenberg, subject to shareholder approval, 4,913,370 options with an expiry date of 3 years from the date of issue (being retrospective to October 1, 2007). The options are in two groups as follows:

• 2,456,685 options at an exercise price of thirty-three cents ($0.33);

• 2,456,685 options at an exercise price of forty-three cents ($0.43);

The options vest in 5 equal parcels, with the first parcel vesting immediately and then an additional parcel on each 6 month anniversary from October 1, 2007.

Further options are to be issued subject to the completion of milestones which will provide significant increase in the value of the company.

US Vice-President of Global Business Development, Dr Oren Fuerst, is also being granted an identical incentive arrangement.
