Renounceable Pro-Rata Rights Issue – Closure, Acceptances and Shortfall
Immuron Limited [ASX: IMC] (the Company) hereby advises that the recent renounceable rights issue offer made pursuant to the Prospectus dated 27 March 2013 to raise approximately $1.9 million (before expenses) on the basis of three (3) new fully paid shares in the Company (Share) for every two (2) fully paid Shares held at an issue price of 0.3 cents ($0.003) (the Rights Issue), closed on 29[th] April 2013.
The Company advises that it has received entitlement acceptances in respect of 88,641,762 shares. Eligible Shareholders also subscribed for a further 5,997,082 in additional oversubscribed new shares under the shortfall available. The total funds received from Shareholders totalled $283,917.
This provides a remaining shortfall of 526,631,242 shares.
As the Rights Issue was fully underwritten by Patersons Securities Limited (the Underwriter). In accordance with the terms of the underwriting agreement, the Company has issued a shortfall notice to the Underwriter for the remaining 526,631,242 shortfall shares, amounting to $1,579,894.
