Notice under section 708A of the Corporations Act 2001 (Cth) (Act)

On 19 April 2010 Immuron Limited ( Company ) (ASX: IMC) announced that the Company was intending to make an offer (" Offer ") to eligible shareholders to participate in the Company’s 2010 Shareholder Purchase Plan (“ Plan ”), pursuant to which eligible members who held Immuron Limited shares at 7.00 pm, Melbourne time on 16 April 2010, will be able to purchase up to $15,000 worth of new fully paid ordinary shares in the Company (" Shares "), being $15,000 less the amount subscribed for shares (if any) a particular Eligible Member was issued pursuant to the Company's 18 June 2009 Shareholder Share Purchase Plan.

The Company will be making the Offer to eligible members on Friday, 23 April 2010 by the despatch of Offer documents.

The Company gives notice pursuant to section 708A(5)(e) of the Act that:

1. the Company will be issuing (pursuant to the Plan) Shares without disclosure to investors under Part 6D.2 of the Act;

2. this notice is provided in accordance with the ASIC Regulatory Guide 125 and ASIC CO 09/425 exemption;

3. as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company and section 674 of the Act; and

4. as at the date of this notice there is no information:

   • (a) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

   • (b) that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

     • (i) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

     • (ii) the rights and liabilities attaching to the Shares.
