Investment Friends Capital SE — Share Issue/Capital Change 2024

Zarząd Spółki INVESTMENT FRIENDS CAPITAL SE z siedzibą w Tallinnie informuje, że w dniu 18.03.2024 roku właściwy dla prawa Estonii rejestr spółek handlowych (Ariregister) dokonał rejestracji zmian Statutu Spółki wynikających z uchwał podjętych na Nadzwyczajnym Walnym Zgromadzeniu Akcjonariuszy w dniu 6.10.2023 roku.

W związku z powyższym aktualne brzmienie punktu 2.4 Statutu Spółki jest następujące:

"2.4. Najmniejsza liczba akcji spółki bez wartości nominalnej to 4 000 000 (cztery miliony), największa liczba akcji spółki to 16 000 000 (szesnaście milionów)."

Aktualna liczba akcji wyemitowanych przez Emitenta to 5 005 324.

W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej, angielskiej oraz estońskiej wersji językowej.

The Management Board of INVESTMENT FRIENDS CAPITAL SE with its registered office in Tallinn informs that on 18/03/2024, the Commercial Companies Register (Ariregister), competent for Estonian law, registered the amendments to the Company's Articles of Association resulting from the resolutions adopted at the Extraordinary General Meeting of Shareholders on 6/10/2023.

In connection with the above, the current wording of point 2.4 of the Company's Articles of Association is as follows:

"2.4.The minimum number of the shares of the Company without nominal value is 4 000 000 (four million) shares and the maximum number of the shares of the Company without nominal value is 16 000 000 (sixteen million) shares."

The current number of shares issued by the Issuer is 5 005 324.

Attached to this report, the Issuer provides the current wording of the Articles of Association in the Polish, English and Estonian language versions.
